B. The installation, location, maintenance, replacement and
inspection of wires,pipes and conduits for purpose of providing water and other
utilities for Lots 1 and/or 2 and for any other purposes for which a private way to both
Lots may be used.
C. The Iocation of the Common Driveway,turnouts, wires,pipes,
conduits and other utilities may be installed within the Easement Area in locations that
do not exactly coincide with their Iocation as shown on the Driveway Plan to
reasonably carry out the spirit of this Common Driveway Easement.
4. Notwithstanding any provisions herein to the contrary, the rights and
benefits of this Agreement and Declaration shall be private and limited to the benefit
of Lots 1 and 2 only and shall not benefit other properties.
5. This easement shall run with the land of the respective Lot owners upon
conveyance; and the Easement shall remain in existence even in the event that both
Lots come under common ownership unless the common owner thereof records a
Declaration otherwise in the aforesaid Registry of Deeds.
6. This Easement includes the non-exclusive right and obligation by the Lot
owners to enter the entire Easement Area and any land abutting the Easement Arca
that may be necessary to be used to excavate, lay, construct, maintain, replace and
rebuild the Common Driveway, turn-outs located within the Easement Area, and
underground utilities to be placed from time to time in or adjacent to the Easement
Area. It shall be the responsibility of the Lot owners to maintain the Common
Driveway in a good serviceable condition.. This requirement shall include but not be
limited to the removal of leaves, debris, accumulation of snow and icc such that the
Common Driveway shall, at all times, provide safe vehicular and pedestrian travel and
access to the Lots. This requirement shall be immediately binding and effective upon
the subsequent owners thereof upon conveyance of any Lot.
7. It is the intent that the routine maintenance of the Common Driveway is
to be performed in a neighborly good faith by the owners of the Lots with each Lot
bearing one-half of the actual cost of such reasonable maintenance as determined
between respective owners. Notwithstanding the preceding, and in the event that any
Lot owner refuses to bear its fair share of the actual ma'ntenance and/or restoration

expenses incurred concerning the Common Driveway, the other Lot owner may
undertake and have performed such work as may be reasonably required to restore the
Common Driveway and Easement Area to its prior condition and shall be entitled to
bring an action for contribution, including all reasonable costs and reasonable
attorney's fees, of the non-breaching party against the non-cooperating Lot owner in
any Court of competent jurisdiction within the Commonwealth. To the extent that
wires, water lines, other utilities and their associated structures are located within the
Easement Area, or the Easement Area is disturbed by installation or use of such
utilities on a Lot adjacent to the Easement Areas, the owner of each Lot shall be solely
responsible for all costs associated with installation and subsequent maintenance and
repair of those utility lines,pipes and wires servicing that Lot, as well as the affected
portions of the Common Driveway, but common utilities serving both Lots shall be
part of this Agreement. The parties further agree that for any maintenance or
restorative work necessary to be incurred, if there is not agreement among the Lot
owners as to the necessity for the work, the parties shall mediate the necessity and cost
of the work prior to undertaking the work or filing any action.
8. Each Lot owner shall bear one-half of the cost of construction of the
Common Driveway and installation of any common utilities and the project engineer
shall be the sole arbiter of the one-half division of the costs of the Common Driveway
and utilities.
9. Consistent with the Decision by the Northampton Planning Board of the
subdivision creating Lots 1 and 2 and the Site Plan Approval of the building for Lot 1
granted to Craig Bradford the Declarants agree to share equally the cost of annual
maintenance and repair of the catch basins arid other storm water management
facilities located within the Easement Area. This Easement shall also include the right
to maintain,repair and replace in its appropriate current location, from time to time,
the drainage pipe and catch basins as shown on the Driveway Plan where that pipe
extends outside the Easement Area.
10. Declarants, their respective successors, heirs, executors and assigns, as
the case may be, shall make no other use of the Easement Area which would interfere
with the exercise of the rights conveyed herein. The owners of the Lots shall not erect
any permanent structures nor shall there be permitted any permanent plantings within
the Easement Area which shall, at any stage of present or future growth, interfere with
the safe passage on the Driveway or with the overall ingress/egress to or from the Lots.
Any undertaking for repair and/or replacement of the Common Driveway or utilities
within the Easement Area shall include the replacement of any and all surface material
damaged or altered during the exercise of the rights conveyed hereunder and shall
include the restoration and repair of any excavation to the grade and condition existing
immediately prior to the work being undertaken.

CONDITION OF APPROVAL
1. Prior to the issuance of a building permit,a new site plan and photometric plan shall be submitted
FINDINGS showing changes and locations of conditions required herein.
2_ Prior to the issuance of a certificate of occupancy 5 shade trees(Red Maple)of 2.5"caliper shall be

8. Catch basin#17 must be cleaned prior to issuance of a final certificate of occupancy.
9. Maintenance of the stormwater management facilities,including catch basins and detention pond
and funnel,shall be by the owner and conducted twice per year. Reports showing proof of
inspections and necessary cleaning by a qualified professional shall be submitted to the Office of
Planning&Development no later than May 15 and November 15 each year.

in GRANTING the Site Plan Approval, the Planning Board determined that:
1. The requested use protects adjoining premises against seriously detrimental uses because the proposed project,to construct a
10,000 square foot woodworking shop,is an allowable use within the General Industrial zone. In addition,the applicant has included
provisions for surface water drainage,sound and sight buffers and preservation of views,light and air as depicted in plans and
information submitted with the application.
2. The requested use will promote the convenience and safety of vehicular and pedestrian movement within the site and on adjacent
streets,minimize traffic impacts on the streets and roads in the area because the applicant has proposed safety striping throughout the
parking area thereby enhancing the safety for vehicles and pedestrians utilizing the facility. Also,the applicant plans to share a driveway
with the adjacent lot thus eliminating the number of curb cuts located on Industrial Drive.
3. The requested use will promote a harmonious relationship of structures and open spaces to the natural landscape,existing buildings
and other community assets in the area because the proposed woodworking shop will blend with the existing manufacturing uses
located on Industrial Drive.
4. The requested use will not overload,and will mitigate adverse impacts on,the City's resources including the effect on the City's water
supply and distribution system,sanitary and storm sewage collection and treatment systems,fire protection,streets and schools.
5. The requested use meets any special regulations set forth in Section 11 of the Northampton Zoning Ordinance.
In addition,in reviewing the Site Plan submitted,the Planning Board determined that the application complied with the following
technical performance standards:
1. There are no new curb cuts proposed and the planned use of a common driveway with lots one and two will reduce the need for future
curb cuts.
2. Pedestrian,bicycle and vehicular traffic are separated on site to the extent possible.
3. The project meets the requirements for storm water as listed in Section 11.6(6)(C)of the Northampton Zonin Ordinanc

15. If a sidewalk is constructed in the future along the west side of Industrial Drive,abutting this
property, the owner must extend a 4'wide sidewalk from the street to the building within one year of
completion of the public sidewalk. This sidewalk must be separated from the driveway entrance.
The Planning Board GRANTED the Site Plan Approval based on the following plans and information submitted with the application with
the revisions noted in the permit conditions attached:

In GRANTING the Site Plan Approval, the Planning Board determined that:
1. The requested use protects adjoining premises against seriously detrimental uses because the proposed project, to construct a
10,000 square foot woodworking shop,is an allowable use within the General Industrial zone. In addition, the applicant has included
provisions for surface water drainage,sound and sight buffers and preservation of views, light and air as depicted in plans and
information submitted with the application.
2. The requested use will promote the convenience and safety of vehicular and pedestrian movement within the site and on adjacent
streets,minimize traffic impacts on the streets and roads in the area because the applicant has proposed safety striping throughout the
parking area thereby enhancing the safety for vehicles and pedestrians utilizing the facility. Also,the applicant plans to share a driveway
with the adjacent lot thus eliminating the number of curb cuts located on Industrial Drive.
3. The requested use will promote a harmonious relationship of structures and open spaces to the natural landscape, existing buildings
and other community assets in the area because the proposed woodworking shop will blend with the existing manufacturing uses
located on Industrial Drive.
4. The requested use will not overload, and will mitigate adverse impacts on,the City's resources including the effect on the City's water
supply and distribution system,sanitary and storm sewage collection and treatment systems,fire protection,streets and schools.
5. The requested use meets any special regulations set forth in Section 11 of the Northampton Zoning Ordinance.
In addition,in reviewing the Site Plan submitted, the Planning Board determined that the application complied with the following
technical performance standards:
1. There are no new curb cuts proposed and the planned use of a common driveway with lots one and two will reduce the need for future
curb cuts.
2. Pedestrian,bicycle and vehicular traffic are separated on site to the extent possible.
3. The project meets the requirements for storm water as listed in Section 11.6(6)(C)of the Northampton Zoning Ordinance.
The Planning Board voted 5:0 to approve the waivers as requested in the application.
