EZ Construction LLC Home Improvement Contract 4. Concealed or Unknown Physical Conditions. If concealed or unknown physical conditions are encountered at the site that differ materially from those indicated in the Contract documents or from those conditions ordinarily found to exist,the Contract price and Contract time listed in the Statement of Work shall be subject to equitable adjustment. EZ Construction agrees to promptly notify the Client about any concealed conditions which will require changes in the scope of work as described in the Statement of Work. Except as specifically noted in this Contract, if there are substandard or deficient conditions in framing,wiring, plumbing or other utilities that is not visible before the start of work,the additional cost of its repair or replacement will be paid by the Client as a change order or revised Statement of Work. 5. Client Responsibilities.Client will provide a safe and secure work site for EZ Construction, including sufficient secure storage areas for materials delivered to the work site.The Client will promptly notify the EZ Construction of any changes that will affect EZ Construction's work.The Client agrees to make available sufficient parking areas, material storage space, and working areas. The Client,or any person appointed by the Client, may make reasonable inspections of the work site, provided that such inspections do not interfere with the work being done, and that they may be done safely.All electricity,gas,water, heat,and sewage disposal necessary for the construction process shall be provided by the Client.Client shall not perform any labor on the project. Lien. Limitation of Damages.Client acknowledges that the liability of EZ Construction, and of its agents and employees,for claims or damages, costs of defense or suit, attorney's fees and expenses,and payments arising out of or related to the EZ Construction's negligence or breach of any obligation under this Contract shall be limited to liquidated damages in an amount equal to the amount paid pursuant to this Contract, and that this liability shall be exclusive.Client waives any claim for exemplary, special,or incidental damages,even if the Client has been advised of the possibility of such damages.The Parties acknowledge that the liquidated damages are not intended as a penalty, but are intended (i)to reflect the fact that actual damages may be difficult and impractical to ascertain; (ii)to allocate risk among Client and EZ Construction;and (iii)to enable EZ Construction to perform the Services at the stated fee. 10. Additional Provisions a. Integration.This Contract, including attachments,contains the complete and exclusive understanding of the Parties as to the subject matter of this Contract,and no prior oral statements or contracts, both written and oral,shall have any force and effect.This Contract shall not be modified or amended except by a writing executed by both Parties. b. Timeliness of Claims.Any claim of any kind by Client based on or arising out of this Contract or otherwise shall be barred unless asserted by either Party through the commencement of and action within eighteen (18) months after performance of the Services, or other events,action,or inaction to which the claim relates.This provision shall survive any termination of this Contract, however arising.The Parties waive the right to file an action arising directly or indirectly from this Contract under any longer statute of limitations. c. Prevailing Parties. In the event of any litigation or arbitration arising from or related to this Contract,the prevailing Party shall be entitled to recover from the non-prevailing Party all reasonable costs incurred, including court costs, attorney's fees,and all other related expenses incurred in such litigation. d. Severability. If any provision of this Contract shall be found by a court of competent jurisdiction to be void, invalid,or unenforceable,the provision shall be considered severed from this Contract and shall not affect the validity or enforceability of the remainder of this Contract. 3 EZ Construction LLC Home Improvement Contract e. Termination.With reasonable cause, EZ Construction may terminate this Contract, effective immediately, upon giving written notice. In the event of termination,any outstanding fees will be billed to the Client. If no fees are due at the time the Contract is terminated,then any prepaid fees will be reimbursed to the Client. Reasonable cause includes, but is not limited to: • If the Client fails to make any payment within seven (7) days of its due date. • If the Client fails to cooperate with EZ Construction to the point where further construction becomes impossible or prohibitively expensive. • If the Client commits a material violation of this Contract. • If the Client commits any act that exposes EZ Construction to liability to others for personal injury or property damage. • If the Client and EZ Construction cannot agree on reasonable changes to the Statement of Work based upon any unanticipated change in circumstances. f. No Construction Against the Drafter.The Parties agree that this Contract results from careful negotiations between the Parties.Any principle of construction or rule of law that provides that, in the event of any inconsistency or ambiguity in a Contract, such Contract shall be construed against the drafter of the Contract, shall not apply to this Contract. g. Notices.Any notice required or permitted to be given under this Contract shall be in writing and shall be deemed duly given (i) if delivered by hand to the recipient Party,or(ii) if mailed by domestic certified or registered mail with postage prepaid, on the third business day after the date postmarked.Addresses for notice to either Party are as shown below or as subsequently modified by written notice. h. Relationship of Parties.The relationship of the Parties hereunder shall be that of independent contractors. Nothing herein shall be construed as a partnership between or joint venture of the Parties, nor shall either Party be deemed an employee, representative, or agent of the other Party or have the right to bind the other Party in any way without the prior written consent of the other Party. i. Force Majeure. EZ Construction shall not be liable for any delays or failure of performance caused by any act,event, or condition that has a material adverse effect on the ability of a Party to this Contract to perform its obligations hereunder if such act,event,or condition is beyond the reasonable control of such Party and is not the result of such Party's willful or negligent action or inaction and shall include, but not limited to, (i) acts of God,war, public disorders, insurrection, rebellion, floods, hurricanes,earthquakes, lightning, pandemics, or other natural calamities; (ii)acts or inaction of governmental or regulatory agencies or judicial bodies or changes in laws; (iii) explosions or fires; (iv) strikes or labor disturbances;(v)delays in obtaining goods or services from any subcontractor, materialman,or supplier by reason of any occurrence of any of the foregoing causes;or(v)any unforeseeable act or omission of any third Party.Any delay or failure of performance caused by such acts,events,or conditions beyond the reasonable control of either Party shall not be deemed a breach of the terms of the Contract. j. Waivers.The failure of either Party to insist upon the performance of any of the terms and conditions of this Contract,or the waiver of any breach of any of the terms and conditions of this Contract, shall not be construed as subsequently waiving any such terms and conditions, but these shall continue and remain in full force and effect as if no such forbearance or waiver had occurred.
