(b) You agree to grant the Contractor access to the Property for the purpose of completing the Work. The Contractor will give you reasonable notice before requiring access to the Property and will endeavor to restrict such access to normal business hours. (c)You agree to make best efforts to provide a safe and secure work environment at the Property during the course of the Work. 2. GOVERNING LAW. Unless otherwise prohibited by law, this quote shall be governed by and interpreted in accordance with the laws of the state where the Property is located without regard to any conflicts of law rules or provisions. 3.INFORMAL DISPUTE RESOLUTION.If you have a claim("Dispute")related to this quote or if you think Sunrun hasn't performed the Work to your satisfaction,call Sunrun Customer Care at 1.855.478.6786 or by email:customercare@sunrun.com. If you claim deficiencies in Sunrun's performance,you must allow us to visually inspect your Solar Facility and obtain or download pertinent performance data from the Solar Facility. Please reference your name and address in all correspondence. 4. ARBITRATION. If you and Sunrun cannot resolve the Dispute informally, the Dispute will be resolved by binding arbitration. By signing this agreement, you waive your right to bring a class action lawsuit against Sunrun and our partners. You and we mutually agree that any party may elect to settle any legal disagreements confidentially via binding arbitration in the nearest AAA (arbitration services provider defined below)jurisdiction to your home. The details of how this works are as follows: Unless legally prohibited, you and we mutually agree to settle any Dispute related to this contract in good faith via mediation, which will be administered by the American Arbitration Association ("AAA") with a mediator selected from the AAA National Roster of Mediators. If we cannot settle within 60 days of the initial mediation session, either party may elect to require to resolve our Dispute via binding arbitration. This governs all disputes that would usually be decided in court and are between us (or any Related Party) and you, including without limitation all claims related to or arising out of this Agreement, the System or our relationship with you ("Disputes"). Disputes include claims related to amendments, Lease Disclosures, Change Orders, collections, privacy and Customer Information, claims related to the validity of this Agreement, AND THE ARBITRABILITY OF ANY DISPUTE(S). In short, Disputes has the broadest reasonable meaning. • Who handles the mediation and arbitration?American Arbitration Association ("AAA"). Arbitrations are conducted under this Clause and the applicable AAA Active Rules and Procedures in effect at the time the arbitration is commenced. This Agreement is also subject to the AAA Consumer Arbitration Rules pursuant to the Consumer Due Process Protocol, which set forth certain protections to you (including a maximum filing fee). Any other arbitration rules that conflict with this Clause don't apply. • Where will the arbitration hearing be held? In your hometown area. If the Parties don't agree to the locale where the hearing is to be held, the AAA will determine the location of the hearing. Neither You nor We waive the right to arbitrate by using self help remedies, such as repossession or by filing an action to recover the system, deficiency balance, or for individual injunctive relief. • Are you giving up any rights? Yes. For Disputes subject to this clause, you give up your right to: • have juries decide Disputes; • have courts, other than small-claims courts, decide Disputes; o serve as a private attorney general or in a representative capacity; o join a Dispute you have with a dispute by other consumers; • bring or be a class member in a class action or class arbitration; and • have a jury trial. • Can you or another consumer start class arbitration? No. AAA is not allowed to handle any Dispute between the Parties on a class or representative basis. All Disputes subject to this clause must be decided in an INDIVIDUAL arbitration. The TPA must honor statutes of limitation and privilege rights. Punitive damages are governed by the constitutional standards that apply in judicial proceedings. • Will anything you do make this clause ineffective? No. This clause stays in force even if you: (1) cancel this Agreement; (2) default, renew, prepay, or pay the Agreement in full; or (3) go into or through bankruptcy. • Will this clause survive termination of this Agreement?Yes. This clause will remain in effect for Disputes that commence even after the Agreement has terminated. DS BY INITIALING, YOU AGREE TO ARBITRATION AND WAIVE YOUR RIGHT TO A JURY TRIAL 5. CLASS ACTION WAIVER. ARBITRATION MUST BE ON AN INDIVIDUAL BASIS. AS A RESULT, NEITHER YOU NOR SUNRUN MAY JOIN OR CONSOLIDATE CLAIMS IN ARBITRATION BY OR AGAINST OTHER CUSTOMERS, OR LITIGATE IN COURT OR ARBITRATE ANY CLAIMS AS A REPRESENTATIVE OR MEMBER OF A CLASS OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. 6. AUTHORIZED USE OF PHOTOGRAPHS. You agree that Contractor has the right to obtain photographic images of the Solar Equipment and the Property, and to use such photographic images for internal and quality control purposes. Contractor will not use photographic images in its marketing and promotional materials without first obtaining your express written approval. 7. Repairs and Installation. Contractor or its Installation Partners will obtain any permits needed for removal or reinstallation of the equipment. You agree to cooperate with Contractor and assist Contractor in obtaining any permits needed. If Contractor or its Installation Partner damages the Home during repairs or installation, we will repair the damage we caused at no cost to you. Contractor or its Installation Partners and agents shall keep the Home reasonably free from waste materials or rubbish caused by their operations. Contractor and its agents shall remove all tools, construction/installation equipment, machinery, waste materials and rubbish from and around the Home after work is complete. Contractor has the authority and sole discretion to use Installation Partners or agents to perform or assist Contractor in performing Contractor's obligations under this Addendum. 8. Removal and Reinstall Limited Warranty. Contractor warrants that the reinstallation will be free from defects in workmanship for a period of one (1) year or the remainder of your existing contract warranties, whichever is longer. The Limited Warranty shall commence on the date the installation is complete. If you provide us notice of a defect in workmanship during the applicable warranty period, we will, at our sole option, repair or replace the defect. If you provide us notice of an Installation Defect during the applicable warranty period, we will furnish labor to repair any such Installation Defect (and provide replacement materials if we determine such materials are necessary to make the repairs). 9. Limited Warranty Exceptions. The Limited Warranty does not apply to (i) installation performed or materials used by anyone other than Contractor or its Installation Partners; (ii) any materials that were modified, repaired or attempted to be repaired by anyone other than Contractor or its Installation Partners without Contractor's prior written approval; (iii) any damages resulting from your breach of the Agreement; (iv) any DocuSign Envelope ID:B04852E5-429A-42F7-9BEF-70048F090A26 damage not caused by Contractor, its Installation Partners; (v) damage resulting from ordinary wear and tear; (vi) damage resulting from mold, fungus and other organic pathogens; (vii) shrinking/cracking of grout and caulking; (viii) fading of paints and finishes exposed to sunlight; and (ix) damage caused by ball strikes. 10. Contacting Sunrun Regarding Warranty Repair. If you think there is an issue with the reinstallation that is covered by any of the warranties specified above, please contact Sunrun at 855-478-6786 or by email at customercare@sunrun.com. Contractor will use commercially reasonable efforts to fix any issue covered by a warranty as soon as possible after it becomes aware of such issue. 11. Repair/Replacement Outside of the Warranty. Any repairs of the installation outside of the one-year warranty period shall be solely your responsibility. 12. Warranty Disclaimer. TO THE EXTENT PERMI I"I1D BY LAW, THIS WARRANTY AND THE REMEDIES SET FORTH ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, REMEDIES AND CONDITIONS, WHETHER ORAL, WRITTEN, STATUTORY, EXPRESS OR IMPLIED. SUNRUN DISCLAIMS ALL STATUTORY AND IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND WARRANTIES AGAINST HIDDEN OR LATENT DEFECTS, TO THE EXTENT PERMITTED BY LAW. IN SO FAR AS SUCH WARRANTIES CANNOT BE DISCLAIMED, SUNRUN LIMITS THE DURATION AND REMEDIES OF SUCH WARRANTIES TO THE DURATION OF THIS EXPRESS WARRANTY AND, AT SUNRUN'S OPTION, THE REPAIR OR REPLACEMENT SERVICES DESCRIBED BELOW.
