In the event Contractor shall determine that any corrections, repairs and/or replacements (to the extent required to be made by Solar Foundations hereunder) shall be required during the Limited Warranty Period (collectively a “Defect”), Contractor shall immediately send written notice thereof to Solar Foundations, which shall provide a detailed written description of the nature of the Defect, and SolarFoundations shallpromptly correct such Defectto the reasonable satisfaction of Contractor, at Solar Foundation’s sole cost and expense. Upon the correction, repair and/or replacement of the Defect, Solar Foundation’s obligation hereunder shall be satisfied, it being understood and agreed that in no event shall Solar Foundations be responsible for any additional damages, costsor expenses of any nature or any kind incurred with respect to the Defect, except forthe correction, repairand/or replacement thereof. Upon the discovery of anyDefect,Contractor shall have an obligation to undertake any and all actions as may be necessary and/or appropriate to mitigate any damages hereunder.B.NOTWITHSTANDING ANYTHING IN THIS LIMITED WARRANTY AND/OR THIS AGREEMENT TO THE CONTRARY,IT IS UNDERSTOOD AND AGREED THAT THEAGREEMENTS, WARRANTIES, REPRESENTATIONS AND COVENANTS OF SOLAR FOUNDATIONS HEREUNDER REPRESENT “A LIMITED WARRANTY”, AND THEREFORE, SOLAR FOUNDATIONS’S OBLIGATIONS TO CORRECT AND/OR REPAIR ANY DEFECT ARE LIMITED TO THE TERMS AND CONDITIONS HEREOF. Contractoraccepts the Limited Warranty as the sole warranty given by Solar Foundations to Contractor. The agents, employeesand independent contractors of SolarFoundations are not authorized to modifythis Limited Warranty orgive additionalwarranties binding on Solar Foundations. UNLESS OTHERWISE PROHIBITED BYAPPLICABLE LAW, IN NO EVENT SHALL SOLAR FOUNDATIONS, IN ANY CASE, BELIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT OR OTHERSIMILAR DAMAGES, INCLUDING LOST PROFITS AND/OR DIMINUTION OF VALUE, CREATED BY, ARISING OUT OF, OR RESULTING FROM BREACH OF WARRANTY,BREACH OF CONTRACT,NEGLIGENCE OR ANY OTHER LEGAL THEORY,EVEN IF SOLAR FOUNDATIONS OR SOLAR FOUNDATIONS'S AGENT HAS BEEN ADVISED OFTHEPOSSIBILITYOFSUCHDAMAGES.4.Additional Agreements.The Solar Foundations Work and/or terms or conditions specified on the reverse of this Agreement may only be changed,amended oralteredbymeansofachangeorderdulyexecutedbybothSolarFoundationsandContractor,said change order to be provided by Solar Foundations and containingthe items to be altered orchanged, the manner ofalteration and change and the cost increase or decrease resulting therefrom. The change order, once executed in theabove manner, will become a part of thisAgreement and allotherterms of thisAgreement willprevailexcepting those items changed or altered. No act or acts on thepart of SolarFoundationsor Contractor shall constitute a waiver of the aforesaid provisions. Furthermore, nothing herein shallbe deemed to require SolarFoundationstoacceptanychangeorderunlessSolarFoundationsissatisfiedwiththeterms,conditions and provisions thereof,in its sole and absolute discretion. These Terms and Conditions are printed on the reverse side of the Standard Installation Agreement (the “Agreement”) and are intended to supplement the terms, conditions and provisions pursuant to which Solar Foundations will provide the Solar Foundations Work to the Contractor.Solar Found ations and Contractor herebyagreeasfollows:1. Scope of Work. This Agreement, incorporating the Contractor’s specific services, fees and other terms and conditions, constitutes the entire agreement between the parties.There are no promises,agreements,terms,conditions,warranties,representations or statements other than contained herein.Solar Foundations is not liableorbound by any warranties, guarantees, statements or representations made by any broker, agent, employee or otherperson representing or purporting to representSolarFoundations unless herein expressly set forth. It is understood and agreed that all understandings and agreements heretofore had between the parties heretoare merged in this Agreement which alone fully and completely expresses theiragreement and that the same is entered into afterfullinvestigation, neither partyrelying on any statement orrepresentation made by the othernot embodied in this Agreement.
