Inc. (The"Owner"),and ADAM, Quenneville Roofing,Inc. 160 Old Lyman Road, South Hadley,Ma. 01075,(the"Contractor"), for the installation of a new roof at the address set forth herein. The Project/address is: Hampton Court Apartments,20 Hampton Avenue,Northampton MA. 01060 The Owner and Contractor agree as set forth below: ARTICLE 1 SCOPE OF WORK; WORKING CONDITIONS; INSPECTION 1.1 Contractor shall install a new roof on Buildings all areas outlined on contractor's proposal described in Exhibit"A",which is hereby made part of this Agreement. The term"Work" includes all materials,equipment and labor necessary to install new roofs and all materials and equipment incorporated or to be incorporated in such construction and replacements. 1.2 The Contractor shall secure and pay for all building and other permits, governmental fees and licenses which are necessary or required for the proper execution and completion of the Work. "Work" shall pass all City, County, State and Owner inspections before final payment. Any costs incurred from failed and/or re-inspections will be paid by the Contractor. 1.3 The Contractor shall comply with all laws, ordinances,rules, regulations and orders of any public authority or agency pertinent to the performance of the Work, including, without limitation,those related to the safety and protection of persons and property. Contractor shall comply with the safety and health regulations for construction as described in the Code of Federal Regulations and administered by the Occupational Safety and Health Administration, Department of Labor(OSHA). This includes submission of a material safety data sheet to the Owner prior to work beginning. In the event OSHA inspects the site and finds the Contractor in violation of any code,and fines them accordingly,the Contractor shall,in addition to paying its own fines, reimburse the Owner any and all fines or penalties paid by the Owner for violations caused by the Contractor or his work. 1.4 Contractor shall comply with the drawings and specifications for the project; and all amendments to the foregoing. 1.5 Contractor shall be responsible for the complete safety of all areas related to the execution of the"Work"at the job location. The Contractor shall take all precautions and measures to insure the health, safety,and well-being of individuals and property(this includes the use of warning signs, barricades, etc.). All tools, equipment, and materials shall be safely secured at the end of each work day. 1.6 Contractor shall be responsible for the protection and restoration or replacement of any lawn, tree, shrub, hedge, fence, wall, sidewalk,driveway, curb, gutter, sprinkling system or other improvements existing on public or private property or on property adjacent to the Property at the time of beginning of the Work or placed there during the progress of the Work if such items and improvements are not specified or shown on the plans to be temporary. The cost of such protection and replacement or restoration shall be considered as included in the complete cost(the"Agreement Price"-Article 2.1) for the Work. Contractor shall protect the Owner's and residents'property during the execution of the"Work",and will be responsible for any and all damages as a result of the"Work". If the activities of the Contractor may result in damage to 2 property,then the Contractor shall notify in writing to the Owner and coordinate proper measures for protection. 1.7 Unless otherwise indicated in this Agreement, all water, gas, irrigation, sewer, drainage,power,television,telephone, security, lighting,electrical,wires, Lightning protection grids, conduits,cables,piping, lines, structures,etc. and other surface and subsurface structures and utility lines,on or connected to the Property, shall be protected by Contractor and shall not be disturbed, disconnected or damaged by him during progress of the Work. Should Contractor, in the performance of the work,disturb, disconnect or damage any of the above without Owner's written consent, all expenses and liability of whatever nature resulting directly therefrom shall be borne by Contractor. 1.8 Contractor shall at all times keep the premises free from accumulations of waste materials or rubbish caused by its performance of the Work. At the completion of the Work, Contractor shall remove all rubbish from the Property and Work area, and all its tools, scaffolding and surplus materials,and shall leave the Property "broom clean" or its equivalent, unless more exactly required. If Contractor fails to clean up within twenty-four(24)hours after notification to do so,Owner may perform the clean up and the cost thereof shall be paid by Contractor. All"Work"related materials shall be neatly stacked and protected from environmental conditions in and/or in front of each building or off the Property. The Owner is not responsible for materials or equipment stored on the work site. 1.9 Contractor shall perform the"Work"within the highest standards of the Contractor's trade with supervised,skilled,trained personnel. 1.10 Contractor shall do all cutting,fitting,correction or patching of his work that may be required to receive or be received by work of other contractors. Contractor shall not endanger 3 or harm any work by cutting,excavating or otherwise altering the work of any other contractor except with the written consent of Owner. 1.11 Contractor shall provide the Owner the names,addresses, and phone numbers of any and all sub-contractors that will be performing any of the"Work". 1.12 Contractor shall develop and complete all punchlists for his work,immediately upon request of Owner. 1.13 The Contractor shall notify the Owner if any problems,questions,or complications arise that will alter the Scope of Work or Contract amount. All changes,regardless of nature,must be submitted and processed on a Change Order form provided by the Owner. All work performed by the Contractor not covered in the Contract and/or Change Order(approved and signed by the Owner) shall not be paid. 1.14 Contractor will assume all responsibility for any damages incurred from roof leaks for the time period of 2 years following the completion of the replacement and will pay for all damage and losses due to such leaks unless these damages are created by a third party and the contractor is found to be not at fault. 1.15 Contractor shall through his own company and through his roofing system supplier provide a 20 year material and workmanship warrantee for all areas covered by this contract. ARTICLE 2 CONTRACTOR'S COMPENSATION; PAYMENT 2.1 Owner shall pay to Contractor the total sum of One Hundred Thirty Thousand ($130,000.00)Dollars(the "Agreement Price including all taxes, fees,and benefits")for complete performance of this Contract. 2.2 Owner agrees to pay to Contractor 30%of the Agreement Price as a deposit upon execution of this Agreement and the remaining 70%upon satisfactory completion of the Work. 4 2.3 If the Contractor has made Application for Payment as required above,the Owner will,with reasonable promptness,but not later than thirty(30)days after Contractor's Application for Payment, issue Payment to the Contractor for such amount as the Owner determines to be properly due,or state in writing his reasons for withholding part or all of the payment sought. However,by issuing a Payment,the Owner shall not thereby be deemed to represent or imply that he has made exhaustive or continuous on-site inspections to check the quality or quantity of the Work or that Owner has reviewed the Contractor's construction means, methods,techniques, sequences or procedures,or that he has made any examination to ascertain how or for what purpose the Contractor has used the monies previously paid on account of the Contract Sum.No certificate for a progress payment,nor any progress payment,nor any partial or entire use of occupancy of the Project by the Owner, shall constitute an acceptance of any portion of the Work not in accordance with the Agreement Documents. ARTICLE 3 TIME OF COMMENCEMENT AND COMPLETION 3.1 Contractor shall commence the work on or before May 1,2008; Contractor shall prosecute the work diligently and the work is to be fully completed by June 1, 2008 (pending weather). 3.2 It is understood and agreed that the"Work"performance schedule provided to the Contractor by the Owner at the beginning of the job is to specify the amount of time allocated for completion of the work. This allocated time shall begin when the contract is signed. The Contractor shall provide to the Owner a daily schedule of activities for the performance of the "Work". If the schedule changes,the Contractor will notify the Owner as soon as possible of the changes. 5 ARTICLE 4 INSURANCE; INDEMNIFICATION; LIENS 4.1 Contractor shall maintain, at all times,while obligated to perform hereunder: 4.1.1 A policy of worker's compensation and employer's liability insurance for the protection of Contractor's, subcontractor's,and sub-subcontractor's employees,including, without limitation,executive,managerial and supervisory employees, engaged in the Work. The minimum amount of the policy will be$500,000. 4.1.2 A policy of general liability insurance,including contractual and completed operations, covering loss resulting from the Contractor's direct and indirect activities hereunder,whether performed by Contractor or by its subcontractors or suppliers, and covering injury and damage to any person employed by Contractor and its subcontractors and suppliers, and all others who might be injured or damaged as a result of performance of the Work, and covering damage to property. The minimum bodily injury coverage(including death) shall not be less than$100,000 PER PERSON AND $2,000,000 FOR EACH OCCURRENCE. The property damage coverage required herein shall be not less than: $100,000 PER CLAIM AND $2,000,000 PER OCCURRENCE and shall protect the Work,and any improvements on the property adjacent to the area where the work is being performed. 4.2 Each such policy of insurance shall name Owner and the Federal Management Co., Inc. as additional insureds and shall provide that such policy may not be(i) canceled(ii) allowed to expire or(iii)reduced in its coverage limits without thirty(30)days prior written notice to Owner and Managing Agent. 6 4.2.1 Contractor shall, concurrently with its execution hereof,deliver to Owner evidence and endorsements reflecting the insurance coverage required herein and evidence that the same is paid for. 4.3 Contractor shall indemnify and hold the Owner, Owner's agents, Federal Management Co., Inc. and the Property(including the land and improvements thereon)free of and harmless from any and all actions or causes of action,claims,demands, liabilities,losses, damages or expenses of any kind and nature, including attorney's fees, which the Owner, Owner's agents, Federal Management Co., Inc. or the Property shall or may at any time sustain or be liable for in consequence of any injury or damage to person or property which may arise directly or indirectly from the performance of this Contract by the Contractor and by its subcontractor(s),materialmen and suppliers and anyone directly or indirectly employed by or acting for any of them or from claims or liens for services or materials supplied to the Property by any subcontractor,materialmen,their employee or other person whose claim or lien is based, whether justified or unjustified,upon a relationship(contractual or otherwise)with the Contractor. ARTICLE 5 WARRANTY 5.1 Contractor hereby represents and warrants to Owner that with respect to the Work: 5.1.1 All wares,equipment and materials incorporated in the Work shall be the brand,model, capacity and have performance and other characteristics as stated in this Contract(including the plans, specifications and other Contract Documents). 7 5.1.2 Each roof is warranted by the Contractor to be fit for the purpose intended, without leaks and free from defects for a period of twenty(20)years from the Date of Final Completion. 5.1.3 All labor and services supplied in performance of the Work shall be performed in a good and workmanlike manner. 5.1.4 If,within twenty(20) years after the Date of Final Completion or within such longer period of time as may be prescribed by law or by the terms of any applicable warranty or guarantee required by this Agreement,any of the Work is found to leak or to be otherwise defective or not in accordance with this Agreement,the Contractor shall correct it promptly after receipt of a written notice from the Owner. The Owner shall give such notice promptly after discovery of the condition. 5.2 Contractor agrees to promptly remedy any defects due to faulty materials or workmanship and pay for any damage, loss or liability to the Property,the Owner and others resulting therefrom, at Contractor's sole cost and expense and to the satisfaction of Owner. 5.3 The Contractor warrants to the Owner that all materials and equipment furnished under this Contract will be new unless otherwise specified, and that all Work will be of good quality, free from faults and defects and in conformance with this Agreement All Work not so conforming to these standards may be considered defective. If required by the Owner,the Contractor shall furnish evidence satisfactory to Owner as to the kind and quality of materials and equipment used in performing the Work. 5.4 The Contractor shall secure for the Owner,and upon satisfactory installation of any equipment provided by a third supplier or manufacturer, assign and deliver to the Owner all warranties provided by said supplier or manufacturer. 8 ARTICLE 6 CANCELLATION BY OWNER 6.1 Owner reserves the right, at any time,to cancel this Contract upon not less than ten(10)days written notice thereof to Contractor. In the event of such cancellation,Contractor shall immediately take all steps necessary to terminate further work hereunder. Owner agrees to reimburse Contractor for(i) Contractor's direct expenses incurred and unpaid to the date of such notice of cancellation; (ii)Contractor's costs of materials and supplies which have been ordered and/or delivered and cannot be canceled or returned; and(iii)any outstanding pay request which is due and owing to Contractor. ARTICLE 7 OTHER GENERAL PROVISIONS 7.1 This Agreement supersedes all prior negotiations,proposals and understandings, and constitutes the entire understanding of the parties with reference to the Work to be performed under this Agreement. This Agreement shall not be modified except by a writing signed or initialed by all of the parties. Any modification or alteration of this Agreement or a part of this Agreement shall not change any other portion of the Agreement not expressly modified. No part of Article 7 may be modified without voiding this Agreement. 7.2 Federal Management Co., Inc. is not the Owner.
