Trail System: We understand that the city will require TCB to assume responsibility for completion of the trail
system on the campus, and that this condition will need to be met prior to issuance of Final Certificate of
Occupancy for the North Commons building.
* TCB will construct the portion of the trails that are on TCB's property to connect to the existing trail to
the north. There are two trail connections on TCB's parcel, one to the west and one to the east.
p For the trails that need tmbeconstructed south ofTCB'sproperty, either:
* MassDevelopment will grant an easement to TCB to construct the trail, or
* TCB and MassDevelopment will require another developer to construct the tral
.. The parties may agree to share in the costs of such construction.
Open Space: TCB iafully committed and interested in conveying to the City, orrestricting the remaining land
beyond our limits of work, as open space conservation land. MassDevelopment is also on board with this. We
understand that the City will require that the trails be fully constructed and connected on the campus before
accepting the open space. VVewould bewilling toprovide a covenant tothe City secured byasmall escrowed
surety deposit ofperhaps $48,OOD.

Shared Roadway: TCB, MassDevelopment, and Sunwood, the cohousing developer, together with Berkshire
Design Group who is designing the site and providing civil engineering for both projects,have collaborated on
the plans for the first 75' of shared roadway as well as shared utilities and stormwater. A road extension
construction agreement has been drafted byMasoDeve|opmentwhich provides the terms under which the
shared roadway will beconstructed. Prior toconveying the site toTCB mrthe adjacent parcel to Sunw/ood,
KHassDeve|opmentvvi|| record a reciprocal easement agreement setting forth the access rights and
maintenance obligations concerning the shared roadway as well as the necessary construction easements for
the installation ofthe shared roadway. Similar agreements have been done throughout the North Campus
development where necessary.
