Mq 0) TI AGREEMENT this day of February, 1985 , between CUTLERY BUILDING ASSOCIATES, a Massachusetts general partnership (hereinafter referred to as CBA) and JOHN KUZEJA, JR. , ANDREA E. NELSON and SUSAN SOUTHWICK, doing business as AUTO REPAIR COOPERATIVE (hereinafter referred to as COOPERATIVE) . WHEREAS, CBA is the owner of certain real estate known as Cutlery Buildings , located on Riverside Drive, Northampton, Massachusetts and COOPERATIVE desires to rent a certain portion of those premises ; NOW, THEREFORE, for valuable consideration the parties agree as follows : 1 . COOPERATIVE will rent 1, 783 square feet of the space, more or less , in a portion of the Cutlery Buildings located in such area of the building as has previously been shown and agree upon and as shown on the architecural drawing attached hereto as Exhibit A. 2. The said space will be reconstructed into usable industrial space according to the said Exhibit A and, speci- fically, including new electrical service, new gas heat, new bathroom, new windows , new roof, which roof will have a height of 13 feet clear in one section and will be generally upgraded. � �� -10 JUAN 1 0 1986 ;1 R T.OF BUILDING INSPECTIONS r_ IOR"HAMPTON, MA.01060 3 . The rent for said space shall be Six Thousand Five Hundred Seventy-Six Dollars ($6 , 576 . 00) per year, payable in equal monthly installments of Five Hundred Forty-Eight Dollars ($548 . 00) . In addition thereto, a 6% escalator of said rent shall apply in the second and third year of the lease term as set out hereinafter. 4. The term of the lease shall be three (3) years . The term shall commence at such time as CBA .has completed the reconstruction of the space for COOPERATIVE ' S use. CBA will use its best efforts to have the space ready for occupancy by approximately April 20 , 1985 , but no assurances or guarantees of any sort regarding said date are made. ' 5 . COOPERATIVE shall pay for its own heat, electric- ity, trash removal, hot water, and any necessary maintenance and repair of the interior of the rented premises caused by its use of the premises . 6 . The lease shall be conditioned upon COOPERATIVE ' S ability to obtain a special permit from the Northampton Zoning Board of Appeals for use of the space for an auto repair business . 7 . ZONING BOARD OF APPEALS !I At a meeting held on Tiiiv 9. 1986, the Zoning Board of Appeals of the City of Northampton voted unanimously torg ant a Special Permit renewal to John Kuzeja, Jr. and Michael Southerland, d/b/a ARC Garage, 320 _rear I Riverside Drive, Northampton p n to operate an automotive repair business at � ` that location. Present and voting were: Chairman Robert C. Buscher, William Brandt and Peter Laband. Chairman Buscher, William Brandt and Peter Laband found that all criteria have been met and continued the conditions imposed upon the original Special Permit: 1. That vehicles which are damaged, dismanteled, missing parts or leaking fluids shall be stored inside of the building. 2. That suitable measures be taken to prevent pollutants and fluids from leaving the building. The floor of the structure shall be constructed in such a way that a spill of any toxic waste would be contained within the building, subject to the approval of the Conservation Commission. There shall be no floor drain. 3. That the applicants rent 1,783 sq. ft. of the space, more or less, in a portion of the Cutlery Buildings located in such area of the building as has previously been shown and agreed upon and as shown on the architectural drawing submitted with the application. 4. That the applicants use no more than six (6) parking places, which spaces will be physically designated in the parking area by CBA and will be located where spaces 21-26 are shown on the plan of Cutlery Buildings submitted with the original application. All vehicles associated with the ARC Garage shall be parked outside of the Watershed Overlay District. 5. That the ARC Garage shall not repair cars in the parking area or advertise cars for sale in the parking area. 6. That the ARC Garage shall be prohibited from operating any unmuffled or improperly muffled cars or otherwise conducting their business in a disruptive or noisy manner that unreasonably intrudes upon other tenants or abutting neighbors. The applicants shall also be required to have contractural arrangements for property disposal of waste oil products as required by all applicable laws or ordinances. 7. That the ARC Garage shall conduct all test driving of vehicles on i Riverside Drive proceeding north from the premises. 8. That the ARC Garage shall operate Monday through Friday from 7:00 a.m. ,I to 9:00 p.m. and Saturdays from 7:00 a.m, to 6:00 p.m. with no Sunday hours. 9.
