October 22, 2018 A design check for the subject residence was done on the existing roofing and framing systems for the installation of solar panels over the roof. From a field inspection of the property, the existing roof support structures were observed by the client's auditors as follows: The roof structure of (MP1 - main roof) consists of composition shingle on 1x decking that is supported by true dimensioned 2x6 rafters @ 24"o.c., paired with true 2x6 ceiling joists @ 24"o.c.. There are 2x4 collar ties at every rafter which frame out an enclosed attic. The rafters are supported 6'-0" or 9'-0" from the eave by veritcal struts which work with collar ties and ceiling joists to provide a truss system to support the rafters above. The rafters have a max projected horizontal span of 10'-0", with a slope of 43 degrees. The rafters are connected at the ridge to a continuous 1x8 ridge board and are supported at the eave by a load bearing wall. The roof structure of (MP2/MP3 - low hips) consists of composition shingle on roof plywood that is supported by nominal 2x6 rafters @ 16"o.c., paired with nominal 2x6 ceiling joists @ 16"o.c.. The rafters have a max projected horizontal span of 10'-0", with a slope of 10 degrees. The rafters are connected at the ridge to a continuous 2x8 hip rafter, and are supported at the eave by a load bearing wall. (hereinafter “LG”) and installed by a licensed contractor under applicable local and state laws, and extend only to the original end use purchaser and subsequent owner(s) of the facility / project site at the location on which the Module(s) is originally installed (all such persons hereinafter referred to as “Customer”). The warranty start date ("Warranty Start Date") shall be the date of purchase by the original end use purchaser. If the Customer is unable to provide adequate documentation of the original purchase, the Warranty Start Date shall be ninety (90) days after the Module(s) was manufactured. 1. 25 Years Limited Warranty for Module(s) LG will, at its sole option, repair or replace the Module(s) if it proves to be defective in material or workmanship for a period ending 25 years from the Warranty Start Date under normal application, installation, use and service conditions. 2. 25 Years Limited Warranty for Power Output LG warrants that for a period of one (1) year from Warranty Start Date the actual power output of the module will be no less than 98% of the labeled power output. From the second year, the warranty for power output will decline annually by 0.5% in each of the remaining 24 years, so that during 25th year, an actual output of at least 86% of the nameplate power output specified on the Module will be achieved. The power output values shall be those measured under LG’s standard test conditions as follows: (a) light spectrum of AM 1.5; (b) an irradiation of 1000 W per m2 and; (c) a cell temperature of 25 degrees centigrade at right angle irradiation. If the Module does not meet the warranted power output levels set out above when measured by LG or by an independent measuring institute agreed to prior to testing by LG under standard test conditions (IEC 61215) taking into account a ±3% measurement tolerance range, LG will, at its sole and absolute discretion, either (i) repair the Module(s); (ii) supplement such deficiency in power by either: (a) providing additional Module(s) to the Customer, or (b) replacing the Module(s); or (iii) Refund the difference between guaranteed minimal power output and actual power output (measured under LG’s STC) multiplied by the then current market price of the Module(s) or a comparable model at the time of the Customer’s claim. 3. How this Limited Warranty Applies The remedies set forth in this Limited Warranty shall be the sole and exclusive remedies, and the original warranty period in this Limited Warranty shall not extend beyond the period set forth therein, nor will a new warranty period begin, upon repair, replacement or pro- rated refund due to power loss at LG’s sole option provided under this Limited Warranty. Repair or replacement will be made with new or re-manufactured Module(s) or parts and the replaced Module(s) or parts shall become the property of LG. In the event the Module(s) is no longer available, LG reserves the right, at its sole option, to deliver new or remanufactured Module(s) that may differ in size, color, shape, model number, and/or power level. In the event a Module fails to meet the Limited Warranty as detailed in Sections 1 and 2 hereof, LG, at its sole discretion, may support the Truck Roll cost directly resulting from removal or re-installation of Module(s) up to $450 (i.e., $350 for the first visit and $100 for the second visit). If Module(s) returned to LG is found not to be defective or this Limited Warranty has expired, the Customer is responsible to pay for return shipping cost associated with returning such Module(s). 4. Limited Warranty Exclusions 4-1. This Limited Warranty does NOT apply to Module(s): (a) Sold and/or installed outside the geographic territory of the United States and US territories; (b) Sold AS IS or WITH ALL FAULTS or consumables; or (c) That had a serial number or any part thereof altered, defaced or removed. 4-2. If, during the applicable Warranty Period, buyer discovers any defect in workmanship and materials and seeks to activate the Limited Warranty, then buyer shall, promptly after such discovery, report the defect to SolarEdge by sending an email to support@solaredge.com with the following information: (i) a short description of the defect, (ii) the Product’s serial number, and (iii) a scanned copy of the purchase receipt or warranty certificate of the applicable Product. Upon buyer’s notification, SolarEdge shall determine whether the reported defect is eligible for coverage under the Limited Warranty. The Product’s serial number must be legible and properly attached to the Product in order to be eligible for Warranty coverage. If SolarEdge determines that the reported defect is not eligible for coverage under the Limited Warranty, SolarEdge will notify buyer accordingly and will explain the reason why such coverage is not available. If SolarEdge determines that the reported defect is eligible for coverage under the Limited Warranty, SolarEdge will notify buyer accordingly, and SolarEdge may, in its sole discretion, take any of the following actions: x repair the Product at SolarEdge’s facilities or on-site; or x issue a credit note for the defective Product in an amount up to its actual value at the time buyer notifies SolarEdge of the defect, as determined by SolarEdge, for use toward the purchase of a new Product; or x provide Buyer with replacement units for the Product. SolarEdge will determine whether the Product should be returned to SolarEdge and, if SolarEdge so determined, the Return Merchandise Authorization (“RMA”) Procedure (set out below) will be invoked. Where replacement Products are sent, SolarEdge generally sends such products within 48 hours. SolarEdge may use new, used or refurbished parts that are at least functionally equivalent to the original part when making warranty repairs. The repaired Product or replacement parts or Product, as applicable, shall continue to be covered under the Limited Warranty for the remainder of the then-current Warranty Period for the Product. Where the RMA Procedure is invoked by SolarEdge, SolarEdge will instruct buyer how to package and ship the Product or part(s) to the designated location. SolarEdge will bear the cost of such shipment, upon receipt of the Product or part(s), SolarEdge will, at its expense and sole discretion, either repair or replace the Product or part(s). LIMITED PRODUCT WARRANTY SolarEdge General Product Warranty 2 SolarEdge will deliver the repaired or replaced Product or part(s) to buyer at buyer’s designated location in countries where SolarEdge has an office and/or there is a significant PV market. SolarEdge will bear the cost of such shipment, including shipping and customs (where applicable) and buyer shall bear any applicable value added tax. Where SolarEdge decides to repair the Product or part(s), warranty coverage includes labor and material costs necessarily incurred to correct the Product defect; and where SolarEdge decides to replace the Product or part(s) to which the Limited Warranty applies, warranty coverage includes the cost of the replacement of the Product or part(s). In addition, SolarEdge shall bear shipping costs in respect to the foregoing, as set out above. Limited Warranties D10013-V002 | 19-Jan-17 SunModo Corporation 14800 NE 65th Street, Vancouver, WA 98682 SunModo Corporation (“SunModo”) warrants the original buyer (“buyer”) at the original installation site (“site”) that any of the SunModo solar racking products (“product”) manufactured by SunModo and properly installed, in accordance with SunModo’s Installation Instructions or used for the purpose for which the products are designed per SunModo requirements. Warranty Period. The Warranty Period begins on the day the Products were shipped from SunModo, or directly from SunModo’s vendors, and remains in force for the period: a) Products installed on projects located 2 miles or greater from salt or brackish bodies of water will be warranted for 20 years structural and 5 years finish. b) Products installed on projects located less than 2 miles from salt or brackish bodies of water will be warranted for 20 years structural and 3 years finish. Buyer shall defend, indemnify and hold harmless SunModo and its Related Persons (as defined below) (each, an “Indemnified Party”), with counsel reasonably acceptable to the Indemnified Party, from and against any and all Claims (as defined below) which may be suffered or incurred by the Indemnified Party or imposed or asserted against the Indemnified Party: (a) resulting from any cause on or about the premises where any Product is installed; (b) resulting from the use of the Product; (c) arising out of any actual or threatened damage to property, or injuries to or death of persons for any reason, including but not limited to, product performance or malfunction, negligence, or improper installation. “Claims” shall mean any and all claims, actions, demands, proceedings, losses, damages, liabilities, losses, costs and expenses, including attorneys’, investigators’ and consulting fees, court costs and litigation expenses; “Related Person” shall mean any member, partner, principal, officer, director, shareholder, employee, agent, contractor, consultant, representative, affiliate, assign, successor-in-interest of a specified Party, or any other person that has obtained or hereafter obtains rights or interests from such party. This Warranty constitutes the entire integrated agreement between SunModo and Buyer concerning the Product Limited Warranties and supersedes all prior agreements and discussions and the terms or any purchaser orders, order acknowledgements or similar documents. No agreement or understanding in any way purporting to modify this Limited Warranty, oral or written, shall be binding on SunModo unless made in writing and signed by its authorized representative. The agents, employees, distributors, and dealers of SunModo are not authorized to modify this Limited Warranty nor to make additional warranties binding on SunModo. This Limited Warranty and the parties’ rights herein are exclusively governed by and construed in accordance with the laws of the State of Washington, United States of America, without regard to the laws of any other state or country. The State and federal courts located in Clark County, Washington shall be the exclusive venue for any legal action relating to this Warranty and Purchaser hereby agrees to the jurisdiction of such courts. EXCEPT FOR THE LIMITED WARRANTY EXPRESSLY SET FORTH HE- REIN, SUNMODO MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND WHATSOEVER REGARDING THE PRODUCT AND DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, COURSE OF DEALING AND USAGE OF TRADE. IN NO EVENT SHALL SUNMODO BE LIABLE FOR, AND BUYER HEREBY AGREES TO INDEMNIFY SUNMODO FROM AND AGAINST, ANY AND ALL CLAIMS AND COSTS, INCLUDING ATTORNEY’S FEES, ARISING IN ANY WAY FROM THE SALE, USE OR INABILITY TO USE THE PRODUCT, BASED ON: LOSS OF USE, REVENUE OR PROFIT; DIRECT, INDIRECT, SPECIAL, PUNITIVE, LIQUIDATED, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGE; OR INJURY TO PERSONS OR PROPERTY.
