We have reviewed the panel layout and photographs provided by Ross Solar Group relating to the installation of the solar
array at the above-referenced site. Based upon our review, it is our conclusion that the installation of the solar array on this
existing roof will not adversely affect this structure. It is our understanding that the structural components of the existing roof

Conclusions
Our conclusion regarding the adequacy of the existing roof is based on the fact that the additional weight of the solar array is
3 psf or less. In the area of the solar array,other live loads will not be present or will be greatly reduced(Massachusetts State
Building Code (780 CMR Chapter 16,9th Edition (2015 IBCj), Section 1607.12.5). The member farces in the area of the
solar panels are not increased by more than 5%;thus,the stresses of the structural elements are not increased by more than

The solar array will be flush-mounted (no more than 6" above the roof surface) and parallel to the roof surface. Thus, we
conclude that any additional wind loading on the structure related to the addition of the proposed solar may is negligible.
The attached calculations verify the capacity of the connections of the solar may to the existing roof against wind(uplift),
the governing load case. Because the increase in lateral forces is less than 10%,this addition meets the requirements of the
exception in Section 807.5 of the 2015 IEBC as referenced in 780 CMR Chapter 34,9th Edition. Thus the existing structure
is permitted to remain unaltered.
Limitations
Installation of the solar panels most be performed in accordance with manufacturer recommendations. All work performed
must be in accordance with accepted industry-wide methods and applicable safety standards. The contractor shall notify
Vector Structural Engineering, LLC should any damage,deterioration or discrepancies between the as-built condition of the
structure and the condition described in this letter be found. Particular attention must be paid to the maximum allowable

Agreement for the Sale and Installation of a Solar Photovoltaic System
This Agreement("Agreement")dated March 9th 2018 between Consumer Exports Group.
Inc. ("Owner")and CES Danbury Solar LLC(Contractor),a Con Edison Solutions com-
pany doing business as Ross Solar("CES Danbury Solar')with an address of 38 Beaver
Brook Road, Danbury,CT 06810, sets out the terms and conditions by which CES Dan-
bury Solar will install a Solar Photovoltaic System(the"Solar PV System")on Owner's
property located at 43 Ladd ave Florence MA(the"Property").
I. Description of Work and Materials. CES Danbury Solar shall furnish all materials,tools,ma-
chinery,and installation and supervisory services(collectively,the"Wort:")described in Exhibit
("Solar PV System Scope of Work"),in accordance with the terms of this Ageement. The installa-
tion location,listing of components,estimated energy output,pricing,and drawings and other spec-
ifications included in ExIdbjt A help define the Work and are an integral part of this Agreement.
2. Contract Price. As full payment for the Work to be provided by CES Danbury Solar under this
Agreement,Owner shall pay CES Danbury Solar the sum of$38,640.00(the"Contmet Price"),
payable according to the terms in Exhibit B. Owner agrees and understands that CES Danbury So-
lar will incur significant costs and expenses once the Agreement is signed.In the unlikely event the
Owner decides,for whatever reason,not to proceed with the project,Owner hereby agrees to reim-
burse CES Danbury Solar for direct costs and expenses incurred after execution of this Agreement,

3. Payment Schedule. The Contract Price shall be paid in accordance with the payment schedule(the
"Payment Schedule")attached hereto as Exhibit B.The Contract Price may be adjusted only by
means of a written Change Order executed by both CES Danbury Solar and Owner.
A. Waiver of Owner's Claims. The making of the final payment shall constitute a waiv-
er of all claims by Owner,except those arising from:
1.The terms of any warranty set forth in this Agreement;
2.A third party lien arising from CES Danbury Solar's Work;
3. Faulty or defective Work appearing after substantial completion of the Solar
PV System,
B. Waiver of CES Danbury Solar's Claims. CES Danbury Solar's acceptance ofthe final payment
from Owner shall constitute a.waiver of all claims by CES Danbury Solar,except those claims
previously made in writing and identified by CES Danbury Solar as outstanding at the time of
the final payment.
C. Payment Faiiure, if Owner fails to make any payment when due,CES Danbury Solar may
cease or suspend the performance of the Work;provided,however,that CES Danbury Solar
may resume performance of the Work after payment or other resolution of the dispute. This
remedy is in addition to any other right or remedy that CES Danbury Solar may have. Such
failure by Owner to make payment when due is a material breach of this Agreement. If pay-

D. Notice of Lien RiehtsI CES Danbury Solar, its subcontractors, laborers,or equipment ormater-
ial suppliers performing,or otherwise supplying materials or equipment in connection with, the
Work may have the right to place a lien on the property in accordance with applicable law if
they are not paid due to the wrongful acts or omissions of Owner.
4. Time of Completion. CES Danbury Solar and Owner agree that the Work to be performed under
this Agreement is anticipated to start within 180 days of signing of this Agreement,and to he com-
pleted within sixty (60)days of the later of equipment delivery or installation commencement,pro-
vided,however,that the paries acknowledge and agree that time is not of the essence for the com-
pletion of the Work and the star slid completion dates are only estimates based on currently avail-
able information and are not guaranteed. CES Danbury Solar agrees to start and diligently pursue

failure of the issuance of all necessary building permits within a reasonable period of time;utility
interconnection approvals;funding of loans/project financing applied for by Owner;disbursement
of funds into funding control or escrow;acts or omissions of neglect or willful misconduct of Own-
er or Owner's employees,representatives,contractors or agent;acts of God;stormy or inclement
weather;strikes,lockouts,boycotts,or other labor union activities;extra work ordered by Owner,

Dels; imposition of government priority or allocation of materials; failure of Owner to make pay-
ments when due;delays caused by inspection or changes ordered by the inspectors of authorized

reasonable control.Nothwithstanding anything to the contrary herein,Owner may cancel this
Agreement if the work is not completed within 210 days of the date of this Agreement mrovided the
reason for such failure to complete is due to an act or omission of Owner.
5. Licenses and Permits. CES Danbury Solar shall,at its sole cost and expense,comply with all
state and local licensing,permitting,and registration requirements for the performance of the
Work. CES Danbury Solar will work with Owner to obtain all required building permits.CES
Danbury Solar will pay for all necessary building and electrical permit fees. If applicable,
vwnet will he responsible for any municipal fees, including,but not limited to,zoning,special
utility fees or fees and costs associated with upgrades to the Property required by the munici-
pality,other governmental authority,or utility company.
6. Representations and Warranties.
A. CES Danbury Solar and Owner each hereby represent and warrant to the other as
follows:
i. Each party has the full power,authority,and right to enter into and perform
it's obligations under this Agreement.
ii. This Agreement is a legal,valid,and binding obligation of each nam;en-
forceable against it in accordance with its terms,except as may be limited by
bankruptcy,insolvency,or similar laws affecting creditors'rights generally
and equitable remedies.
iii. Entering into this Agreement will not violate its operating agreement or by-
laws or any other contract or agreement to which that party is also a parry.
iv. Neither party may amend or otherwise change this Agreement without the n fes.

The Work shall be performed in a workman-like manner, in accordance with
standard industry practices and in compliance with all building codes and other applic-
able laws;provided,however,that if other,more restrictive standards or requirements
are set forth in any attached plans or specifications defining the Work,such other stan-

waivers of liens upon receipt of final payment from Owner for the Work.
iv. CES Danbury Solar shall remove all debris or other garbage from the Prop-

applicable,clean condition after the Work has he,e,p vnmrktnd
v. CES Danbury Solar is responsible for paying all ordinary and necessary ex-
penses of its staff.
vi. CES Danbury Solar is insured for injury to its employees and others incur- /
ring property damage or injury directly as a result of the acts of CES Dan- ,

ance certificate.
vii.CES Danbury Solar shall obtain all necessary approvals from all local au-
thorities or other regulatory agencies required for the Work.
viii.CES Danbury Solar may, in its discretion, engage licensed subcontractors in
perform the Work;provided,however,that CES Danbury Solar will at all
times remain responsible for the completion of the Work in accordance with
this Agreement.
C. Owner hereby represents and warrants to CES Danbury Solar as follows:
i. Owner is the registered owner of the Property or has a valid leasehold/license
to use same and will provide evidence of such ownership/license to CES
Danbury Solar at or prior to execution of this Agreement.
ii. Owner will make timely payments of all amounts due CES Danhury_Solar
under this Agreement.
iii. Owner shall notify CES Danbury Solar of any changes to the Property poten-
tially affecting the Work or warranty obligations not less than thirty(30)days
prior to the effective date of any such change.
iv. Owner shall provide such assistance to CES Danbury Solar as may reason-
ably be required for the performance of the Work.
7. Work Warranties.
A. Collection of Defective Work. For a period of five(5)years from the date of
substantial completion of the Work or such longer period as may be required by law,CES Danbury So-
lar shall correct any Work found to be defective or otherwise failing to conform to_Fxhihir A wliPthPr
such defect or nonconformance is observed before or after substantial completion. CES Danbury Solar
shall correct any such defective or nonconforming work within a reasonable period of time after receiv-
ing written notice from Owner and at CES Danbury Solar's sole cost and expense,except as may oth-
erwise be agreed to in writing by the parties;provided,however,that CES Danbury Solar shall not be
required to repair any damage to the Solar PV System that occurred after substantial completion of the
Work,unless the parties agree that such damage is directly due to an act or omission by CES Danbury

C. No warranty provided by CES Danbury Solar shall be valid until full and final payment of all
amounts due under this Agreement, including any Change Order,is received by CES Danbury
Solar from Owner.The delaying of payments will not extend CES Danbury Solar's warranty
period bevond the meriod of five(5)vears of the cononm6orim,of the Snlar PV Svete.
8. Termination. This Agreement may be terminated:
A. By either party for a material breach of any provision of this Agreement by the other party, if
such breach is not cured within ninety(90)days of the receipt of written notice thereof.
B. By Owner, if CES Danbury Solar fails to carry out the Work after 120 days'written notice to
CES Danbury Solar.
9. Access to Work. CES Danbury Solar, its employees,agents and contractors,as well as any m
quired utility or governmental representatives,shall have such access to the Work and the Property
as may reasonably be required to perform their obligations in connection with this Agreement,in-
cluding,but not limited to,any required inspections of the Work. CES Danbury Solar shall be per-
mitted to use driveways and unpaved and paved areas leading to or adjacent to the Work site for its
equipment.Owner will provide a free and unobstructed area for ground level activities required for
or associated with rooftop installations. All weather access will be permitted.
W. Incentives and Taxes. Owner will pay for all taxes and assessments associated with the in-
stallation. Without limiting the foregoing,the filing of Federal Tax Form 3468(Energy Invest-
ment Credit)is the sole responsibility of the Owner.Owner acknowledges that the foregoing

it. Location of Property Lines. Owner is solely responsible for locating and informing CES
Danbury Solar of the location of all property lines and CES Danbury Solar shall be entitled to
rely on the information provided by Owner. CES Danbury Solar may require Owner,at Own-
er's expense,to provide a licensed surveyor's map of the property showing the relevant proper-
ty lines. - -
12. Responsibilities of the Parties.
(a)CES Danbury Solar shall promptly notify the Owner of(a)subsurface or latent physical conditions
at the Work site differing materially from those indicated in this Agreement,or(b)unknown physical
conditions differing materially from those ordinarily encountered and generally recognized as inherent
in work of the character provided for in this Agreement. Owner shall pay for any expense incurred due
to such conditions.
(b)Owner is responsible for supplying electricity to the site as necessary for installation,and agrees to
provide toilet facilities at Owner's expense.

lar is not responsible for any loss,damage or destruction of any personal property not removed or prop-
erly protected.
(t)Owner is responsible for any roofing or insulation replacement,as well as any necessary structural

by Owner as required.Owner is responsible for any variance requirements or architectural review board
hearing costs/fees associated with the installation of any ground mount system.
(g)Owner is responsible for any damages to the real property and any personal property during the per-
formance of the Work,except to the extent that such damages are caused by the sole neelieence of CES
Danbury Solar. Working on a roof and installing solar panels may create airborne dust Vdirt,debris,and
odors. Therefore,during installation of the Solar PV System,Owner and/or other occupants will keep
all windows closed,all rooftop air intakes inoperative and closed,and all vehicles parked a safe dis-
tance from the building.
(h)Once Owner and CES Danbury Solar have executed the Agreement,CES Danbury Solar will pre-
pare the structural and electrical designs for the Work and will have such designs reviewed by profes-
sional engineers prior to applying for permits.If,as a result of the engineering review,any structural or
electrical upgrades are deemed necessary,CES Danbury Solar will prepare a cost estimate to have the
required upgrades incorporated into the Work pursuant to a Change Order.Owner will have the option
to perform the necessary and required upgrades independent of CES Danbury Solar if the Owner has a
preferred vendor that is qualified for such upgrade work.
(i)CES Danbury Solar will work closely with the utility company that has jurisdiction for this installa-
tion. In the event that the utility company requires upgrades or additional related work in order to prop-
erly and safely interconnect the Solar PV System,the costs shall be the responsibility of Owner.CES
Danbury Solar will work with the utility to mitigate any such necessary costs to the extent possible.

tion in or on Owner's Properly. Removal,encapsulation,and/or disposal of any existing asbestos
or other hazardous contaminated materials are not a part of this Agreement.Owner is responsible
for ensuring that the Work area is environmentally safe. Nothing herein shall make CES Danbury
Solar,its affiliates,or their officers,directors,employees or agents liable for any damage to the
Property, its components, its contents, injury to occupants, interruption of business or loss of rev-
enue or opportunity,including,but not limited to,all claims,damages or expenses arising out of
or in any way related to or resulting from biological growth,including,but not limited to,all
types of mold or any other type of contamination of Owner's Property. All such liability is ex-
pressly excluded and disclaimed.
14. Assignment Neither party may assign its rights under this Agreement without the consent of the f

written consent of Owner,to sell,transfer or reorganize CES Danbury Solar and to assign its
rights and obligations under this Agreement to:(i)any affiliate,subsidiary,or parent entity or(ii)
a successor in the operation of CES Danbury Solar's assets and/or business by reason of a reorga-
nization,merger,consolidation,or sale,where substantially all of such assets are acquired by such
successor.
15. Successors and Assigns. All references in this Agreement to the parties shall be deemed
to include,as applicable,a reference to their respective permitted successors and assigns. The provi-
sions of this Agreement shall be binding on and shall more to the benefit of such successors and assigns
of the patties. This Agreement is solely for the benefit of Owner and CES Danbury Solar,and is not
intended for the benefit of any other parties.
16. No implied Waiver. The faidure of either party to insist on strict performance of any covenant
or obligation under this Agreement,regardless of the length of time for which such failure continues,
shall not be deemed a waiver of such party's right to demand strict compliance in the future.No consent
or waiver,express or implied,to or of any breach or default in the performance of any obligation under
this Agreement shall constitute a consent or waiver to or of any other breach or default in the perfor-
mance of the same or any other obligation.
17. Nature of Relationship; Indemnity. CES Danbury Solar is not an employee of Owner. In per-
forming its obligations under the Agreement,CES Danbury Solar is working in its capacity as an
independent contractor. CES Danbury Solar agrees to indemnify Owner for any claims arising di-
rectly from CES Danbury Solar's negligent performance of the Work.
18. C_han_oP Urders, Chngld Owner con.ctnlction lender,or any governmental agency or authority or --
inspector direct any modification or addition to the Work,the Contract Price shall be adjusted ac-
cordingly.Modification or addition to the Work shall be executed only when both Owner and CES
Danbury Solar have signed a change order("Change Order). The change, if any, in the Contract
Price resulting from any such Change Order shall be as agreed to in writing. The Change Order
may also increase the time in which the Work to be performed pursuant to this Agreement is to be
completed. No additional Work to be performed pursuant to a Change Order shall be performed
without prior written agreement of Owner. Any Uhange Order fors for changes or extra work
shall be incorporated in,and become a part of this Agreement.
19. Types of Materials. All materials used by CES Danbury Solar in performing the Work shall be
new,in good condition,and in compliance with applicable laws and codes.

the option to select alternative materials of similar specifications and price from alternative(and
readily available)materials proposed by CES Danbury Solar.
22. Amendment or Modification. This Agreement may only be amended,modified or changed by
means of a written amendment or Change Order executed by both parties.

CES Danbury Solar,LLC warrants to(honer that the Work shall be free from defects for a period of five
(5)years from the date of commissioning of the Sol"PV System.
This warranty is extended to Owner and to any succeeding owner of the Property.
This warranty will not apply:
I. To defects or malfunctions resulting from failure by Owner to properly operate the Solar PV Sys-
tem in accordance with the printed instructions provided.

approved for construction, meaning Thai you are authorized to construct and test
the new system, but not to leave it online. National Grid will provide an
"Authority to Intercennect"letter only after all requirements and standards,
as detailed below,have been met,and after your standard meter has been
replaced with a bi-directional net meter.This is especially important, as
operating a generation system behind a standard meter may rause billing errors.
