Terms', These terms and conditions will be applicable to the Buyer's purchase from Elm Electrical, Inc. (Seller).
The Sellers offer to the Buyer is expressly conditioned upon the Buyer's acceptance of these terms and
conditions, and the Seller hereby gives notice that it objects to any additional or different terms In the
Buyer's documents. This document and others specifically identified as part of the Sellers proposal
constitute the entire agreement,and may not be modified except by a written amendment signed by the
Seller. The Buyer's purchase order,contract,written communication, or verbal consent or payment shall
constitute acceptance of the proposal and these terms and conditions.
PRICE AND PNYMSNERMS: The buyer agrees to pay the contract price stated in the quotation, or if
none Is stated,the Sellers price In effect at the time of delivery. Where applicable,the buyer agrees to
pay for the add nal items below, unless spedficai y included in the contract price: Payment is due net
30 from invoice date: Monthly progress billing will apply to projects in excess of an overall 2 month
schedule.
A service fee for any Invoice not paid within 30 days after Invoice,calculated at 1 1/2%per month of the
outstanding balance, plus, reasonable and necessary collection costs incurred by the Seller, including
attorney fees and litigation expenses.
The price of additional equipment, services and charges necessary to complete the project made
necessary by incomplete or Inaccurate information supplied by the Buyer, or due to the Buyers changes
or delays.Seller will advise Buyer in advance of any such additional charges,
A portion of the fixed contract shall be invoiced at specific milestones or at a minimum monthly as a
partial billing. Time and materials projects shall be Invoiced bi-weekp. Unless stated in the proposal, the
Buyer shall be Invoiced by one of the following methods:
• Monthly standard Invoice or Bi weekly Standard invoice,as applicable
• AMA form
Elm Electrical reserves the right to request a down payment for equipment or services to be purchased
• prior to execution of the work. If required, terms of down payment and subsequent payments would be
agreed upon in writing by both Buyer and Seller prior to commencing work.
Seller may,at its option, require additional progress payments if the financial condition of the Buyer does
not justify continuation of the project on the specific payment terms. In addition, Seller shall have the
right at any time in the case of poor financial condition of the Buyer or breath of terms withhold or recall
shipments, in whole or in part,and repossess all goods supplied and stored at the Buyers facility without
the necessity of taking any other proceedings. Buyer consents that the goods so taken shall become the
absolute property of the Seller,provided that the Buyer is promptly notified,and is given full credit
therefore.The Seller reserves a security interest in all equipment and software licenses until the final
payment of the purchase price is received.
SFUY_Seiler agrees to maintain a safe and hazard free work environment, in accordance with OSHA
regulations, on sites where Elm Electrical employees are present. Seller further agrees to provide site
specific safety orientation and training to each of Buyers employees prior to any work and provide any
MSOS and GHSSDS reports relating to the jobsite. Buyer agrees that it shall bear sole responsibility for
any failure by it to comply with any such laws.
SOLICITATION: Buyer agrees to not solicit the labor of any employee currently employed by the Seller for
the duration of the present contract or order and for one year after termination of the contract or order.If
within one year of our employee's last scheduled date with the Buyer and the Buyer hires our employee,
the Buyer agrees to pay Elm Electrical an amount equal to 25%of employee's annualized pay rate, due
immediately.
TERMINATION ANO CANCEt1ATI0Nj In the event that the Buyer cancels all or part of this agreement
(except for Sellers material breach), Seiler shall be entitled to recover its total costs, including general,
overhead and profit for the work performed. Seller shall apply contract payments received to Its costs,
and be given Immediate access to Buyers facilities to recover shipped materials.
WARRANTY: For equipment manufactured or supplied by the Seller's vendors, the Seller passes to the
Buyer the licenses and warranty it receives to the maximum extent it is able. Extended warranty and/or
sengce agreements avannekt from suppliers shall be offered to the Buyer upon request.
The services provided by Elm Electrical, Inc. are warranted to be free from material defects in
workmanship, and shall conform to the specifications. Elm Electrical, Inc. shah, at its expense,
investigate,remedy and/or reperform the services upon notice of alleged defect,such notice to be within

1 year of installation. Buyer shall provide reasonable documentation of such alleged defect,and allow the
Seller full access to investigate and remedy it.
Each system shall irrevocably be deemed accepted 36 days from Installation unless Seller receives notice
of defect under the warranty within 1 year.
ALL WARRANTIES ARE CONTINGENT UPON BUYER MAINTAINING ALL ROUTINE SERVICE PER
MANUFACTURER REQUIREMENTS.
NO EXPRESS WARRANTIES AND NO IMPLIED WARRANTIES, WHETHER FOR MERCHANTABILITY OR
FITNESS FOR ANY PARTICULAR PURPOSE OR OTHERWISE(EXCEPT AS TO TITLE),OTHER THAN THOSE
SET FORTH ABOVE SHALL APPLY TO PRODUCTS OR SERVICES SOW BY THE SELLER, AND NO
ALTERATION OR MODIFICATION OF THE FOREGOING SHALL BE BINDING AGAINST THE SELLER UNLESS
SIGNED BY AN EXECUTIVE OFFICER OF THE SELLER.
LIMITATIONS OF LIABILITY AND LIMITATI,QNgF ACTIONS:
WHETHER OR NOT CAUSED BY THE SELLER'S NEGLIGENCE, SELLER SHALL NOT BE LIABLE FOR ANY
DAMAGES THAT EXCEED AN AMOUNT EQUAL TO TEN PERCENT OF THE CONTRACT PRICE CONTAINED
IN THIS AGREEMENT, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES,
HOWEVER CAUSED. SELLER'S OBLIGATION TO REPAIR OR REPLACE AS SET FORTH ABOVE SHALL BE
FAILS TO REPAIR OR REPLACE AS AFORESAID, SELLER'S ENTIRE LIABILITY SHALL NOT EXCEED THE
SELLERS PRICE FOR THE DEFECTIVE ITEM. ANY LEGAL PROCEEDING BROUGHT UNDER OR AS A
RESULT OR ARISING OUT OF THIS AGREEMENT MUST BE BROUGHT WITHIN ONE YEAR AFTER THE
CAUSE OF THE ACTION ARISES.
SELLERS PIyt•• PT , T.; The Seller, its supplier and principals retain ownership of designs,
specifications, and technical Innnmation. Any proprietary data of the Seller, its suppliers and pdnclpals
disclosed to the Buyer will be retained in confidence and used only in connection with this Agreement,
unless such data or information can be shown to have been known to Buyer from other sources who have
lawfully obtained such information and conveyed it to Buyer.
GENERAL: This agreement shall be governed by the laws of the State of Massachusetts,USA. Any
dispute or controversy between Seller and Buyer Involving the services and/or the terms of this
agreement shall be settled by arbitration to be held in the City of Westfield,State of Massachusetts,In
accordance with the rules of the American Arbitration Association. Any arbitration proceedings pursuant
to this Section shall be conducted on an expedited basis. The arbitration order shall be a final order and
not appeal able. The arbitration cos's for flung fee and arbitrators for any such arbitration shall be equally
split between Seller and the Buyer.
The Buyer may not assign this agreement without the Seller's written consent.
Unless otherwise stated,the Seller's proposal Is valid for 60 days. After acceptance, all changes must be
in writing and agreed upon by both parties.
