ARTICLE IV. USE BY TENANT
SECTION 4 . 01 . USE OF LEASED PREMISES . The Leased Premises !nay be
used and occupied by Tenant and its servants , agents and employees as
a parking area and such other purposes as Landlord may approve in
writing which approval shall not be unreasonably withheld . Such use
and occupation shall at all times be in compliance with all
ordinances, laws and regulations .
ARTICLE V. LANDLORD ' S RESPONSIBILITIES
SECTION 5 .01 NIAINTENA14CE AND SNOW REMOVAL . Landlord agrees to
maintain the parking area in a safe condition and to be responsible
for snow removal .
ARTICLE VI. CONDEMNATION
SECTION 0' . 01 . CONDEMNATION. In the event that the Leased
Premises , or such a portion thereof or of the means of access thereto
that Tenant is precluded from effectively utilizing the Leased
Premises for the purposes set forth herein shall be so taken, this
Lease and the term hereof may be terminated by the Tenant.
ARTICLE VII . LANDLORD' S COVENANT
SECTION 7 .01 . QUIET ENJOYMENT. The Tenant , paying the rent and
other sums payable hereunder and performing the covenants of this
Lease on its part to be performed shall and may peaceable and quietly
have, hold and enjoy the Leased Premises for the term of this Lease .
ARTICLE VIII . MISCELLANEOUS
SECTION 8 . 01 . CAPTIONS AND SECTION NUMBERS. The captions ,
section numbers article numbers , and index appearing in this Lease are
inserted only as a matter of convenience and in no way define, limit ,
construe, or described the scope or intent of such sections or
articles of this Lease nor in any way affect this Lease.
SECTION 8 . 02 . ENTIRE AGREEMENT. All of the covenants and
agreements contained in this Lease shall be binding upon and inure to
the heirs , successors , assigns and legal representatives of Landlord
and Tenant and of any person claiming by, through or under either of
them or their agents or attorneys This Lease contains the entire
agreement of the parties and may not be modified except by an
instrument in writing signed by both parties .

Massachusetts 01060 "Landlord" and FLORENCE SAVINGS BANK, a
Massachusetts Savings Bank having its usual place of business at 85
Main Street , Florence, Hampshire County, Massachusetts , 01060
"Tenant" .
ARTICLE I. GRANT AND TERM
SECTION 1 . 01 . LEASED PREMISES. Landlord in consideration of the
rent to be paid and -the covenants to be performed by the Tenant hereby
leases to Tenant, and Tenant hereby takes from Landlord the following
described premises, hereinafter referred to as the "Leased Premises"
upon the terms and conditions set forth herein.
The Leased Premises consist of the easterly portion of the
parking area of the Landlord which is situated on the northerly side
of Depot Street, Florence, MA. The leased premises have an
approximate length along Depot Street of one hundred twenty-five ( 125 )
feet.
SECTION 1 .02 . COMMENCEMENT AND ENDING DAY OF TERM. The primary
two year term of this Lease shall commence on I&Ja4lA / , 1992
( the "Commencement Date" ) and terminate on F -2g , 1994 unless
sooner terminated as hereinafter provided. fke Te ant shall have the
option to extend this Lease for an additional two ( 2) year term, upon
the same terms and conditions . Tenant shall exercise said option to
extend by mailing notice of its exercise of said option to Landlord by
certified mail , return receipt requested, at least ninety ( 90 ) days
prior to expiration of the primary term.
ARTICLE II. RENT
SECTION 2. 01 . RENT. Tenant covenants to pay to Landlord during
the first term of this Lease annual rent of Three Thousand and 00/100
( $3 , 000 .00 ) Dollars , which shall be payable in equal monthly
installments of Two Hundred Fifty and 00/100 ( $250 . 00 ) Dollars , in
advance, on the first day of every calendar month during the Term
hereof. Tenant will pay the Rent without setoff deduction or demand
to Landlord.
ARTICLE III . REPAIRS
SECTION 3 . 01 . REPAIRS . Landlord shall keep the Premises in good
repair.
