may initiate alternative dispute resolution even where this section is not separately
signed by the parties.
Changes to the Work: The scope of the work to be performed may be altered by written change
orders, which should be priced and approved prior to the execution of the work. If job conditions
should necessitate additional work to be authorized by the homeowner, such as concealed water
or insect damage, on a "T&M" (time and material)basis, these items will be handled at cost plus
15%plus a project management charge. Allowances included as line items in the Proposal
attached hereto have been marked up for overhead, so any adjustment to allowances will include
the difference in actual costs plus 15%and a project management fee.
Job Management: A Project Manager and a foreman will be working on the project. By
executing this contract,the homeowner agrees to be regularly available, during regular working
hours,to discuss and facilitate job progress with the Project Manager and/or foreman. Further,
before signing this contract,the homeowner must review, agree to and accept the terms and
conditions described in the Project Organization and Important Customer Information forms
included as part of the Supplemental Information attached to this contract.
Owner-Supplied Items: Wright Builders strongly discourages having the homeowner supply
items for installation by Wright Builders. If the homeowner asks to supply certain items or to be
responsible for certain aspects of the overall project, Wright Builders shall be entitled to charge a
project management fee equal to 15%of the cost of the owner-supplied items to account for the
challenges associated with incorporating owner-supplied items into the project. Wright Builders
will offer no warranty on owner-supplied items and shall not be responsible for any delays
attributable to owner-supplied items. Under no circumstances shall Wright Builders allow the
homeowner to remove any aspect of the project that is required to obtain a certificate of
occupancy or that would create a safety or water intrusion risk. In addition,the homeowner
agrees to be bound by the terms and conditions set forth in the Important Customer Information
form included as part of the Supplemental Information attached to this contract.
Conflict of Terms: In the event of any conflict between this contract and the attached Proposal
or Supplemental Information,the terms of this contract shall govern.
Law Governing: This contract shall be governed by and construed in accordance with the laws
of the Commonwealth of Massachusetts.
Entire A Bement: This contract and the attached Proposal and Supplemental Information
contain the entire understanding of the parties and supersede any prior understandings and
agreements. Any amendments to this contract, including change orders,must be in writing and
signed by Wright Builders.
Binding Effect: This contract shall be binding upon the heirs, executors, administrators,
successors and assigns of the parties.

due within seven days.Balances over 30 days late will incur interest charges of 1.5%per
month.
Acceleration of Pgxment: If in good faith Wright Builders deems itself to be financially
insecure, it may require that the balance of funds not yet due be placed in a joint escrow account
as a prerequisite to continuing the contracted work. Withdrawal from said account would require
the signatures of both parties.
Subcontractors: Wright Builders agrees to be solely responsible for completion of the work
described in this contract regardless of the actions of any subcontractor utilized by Wright
Builders. Wright Builders further agrees to be solely responsible for all payment to
subcontractors for materials and labor under this contract.
Required Permits: Wright Builders will secure those permits described in the attached Proposal,
which is hereby incorporated by reference. The cost of the permits to be secured by Wright
Builders is included in the price for this job except as otherwise set forth in the Proposal. Please
note that homeowners who secure their own permits or deal with unregistered contractors are
excluded from the Guaranty Fund provisions of MGL C. 142A.
Warranty: Wright Builders provides a Limited Warranty against defects in materials and
workmanship for a period of one year from date of certificate of occupancy, or homeowner's
beneficial use,whichever comes first.Normal usage,wear and tear, shrinkage of materials,
owner-supplied items and changes in materials within trade tolerances are specifically excluded.
The homeowner's failure to undertake proper maintenance or to promptly advice Wright
Builders of any items requiring attention shall void this Limited Warranty. The homeowner shall
get the benefit of any manufacturer's warranties for equipment installed by Wright Builders.
No Lien: Unless otherwise noted within this contract or its attachments,this contract shall not
imply that any lien or other.security interest has been placed on the homeowner's residence.
Arbitration: Wright Builders and the homeowner hereby mutually agree in advance that in the
event Wright Builders has a dispute concerning this contract, it may submit such dispute to a
private arbitration firm which has been approved by the Secretary of the Executive Office of
Consumer Affairs and Business Regulation and the homeowner shall be required to submit to
such arbitration as provided for in Massachusetts General Laws chapter 142

Insurance: Wright Builders provides Liability, Workers Compensation, and Completed
Operations insurance.A Certificate of Liability Insurance is attached to this contract. Any
products furnished or delivered to the site belong to the owner of the site, effective at the time of
delivery, and should be insured accordingly by the homeowner.The homeowner shall reimburse
any deductible paid by Wright Builders in the case of loss. It is the homeowner's responsibility
to secure and protect all of its personal belongings and possessions on site and/or to remove such
items from the work area to a secure location.
Payment Terms: The attached Proposal includes terms of payment and deposits. Wright Builders
will not request a deposit that exceeds one-third of the total contract price or the cost of special
order items,whichever is greater. As set forth in the Proposal attached hereto, Wright Builders
sends invoices monthly based on the percentage of work completed_ Payment on each invoice is
