29-396 TERMS: Buyer(s) and Seller Agree: FINANCING: 1. In the event that this contract is to be paid in more than three(3) payments,excluding the down payment,or is to be financed,the Seller shall have the right to arrange for financing in which case the Buyers)agree(s)to sign all documents required. If the Buyer(s)fail(s)or refuse(s)to sign the documents required for financing,the the full amount of this contract price shall become due upon completion or,at the Seller's option,the failure or refusal shall constitute a breach of this contract. In some cases you may be required to sign a mortgage lien to secure financing. ' BUYER PROMISES TO SELLER: 2. Buyer(s)represent(s)to Seller that the salesman presenting this contract has made no promise or representation which does not appear in writing and that this contract constitutes the entire agreement of the parties. 3. The Buyer(s)warrant(s)that Buyer(s) is/are the owners)of the property on which this contract is to be performed and agree(s)to provide adequate access to the work site. Buyer(s) shall apply for any and all permits,variances,etc.which may be required for work to be completed,at the Buyer(s) own cost and expense. Buyer(s)warrant(s)that the pool site complies with all applicable building codes and zoning laws and agrees to save and hold Seller harmless from any liability to Buyer(s)or anyone arising from zone changes,deed restrictions or violations of building codes. 4. It is agreed that the Buyer(s)will supply water to fill the pool at Buyer(s) expense. Installation shall be complete when the pool is ready to be filled with water. SELLER'S REMEDIES IF BUYER DOESN'T PERFORM: 5. Buyer(s)agree(s)that in the event of any breach of this contract by Buyer(s)at anytime,Seller may at its option collect 30%of the total considera- tion as liquidated damages for the breach of the contract,or sue at law for such damages as Seller may establish. In the event payments are not paid when due,Seller may discontinue work until the balance has been paid and then complete its work. In the event that Seller discontinues work on this contract for reasons of breach of its terms by the Buyer(s)and thereafter resumes work on this contract,any additional expenses caused by the discon- tinuance shall be paid by the Buyer(s)as an addition to the contract price. 6. If any payment is not paid in accordance with this contract,Seller has security interest in all pool parts,equipment and accessories included in this contract,to secure payment of the purchase price Seller may,without notice,enter the Buyer(s)premises and repossess any pool parts,equipment and accessories included in this contract,irrespective of the extent or manner in which it may be attached to any building or real property,and will apply the reasonable value of the parts,equipment and accessories against any unpaid balance due from the Buyer(s). 7. if Buyer(s)breach(es)this contract in any respect,Buyer(s)agree(s)to be responsible for Seller's reasonable attorneys fees incurred as a result of the Buyer(s) breach or default. SELLER PROMISES TO BUYER: 8. Seller represents thatit carries Workmen's Compensation and Public Liability Insurance. 9. This contract does not include electrical wiring or fuel connections of any kind. 10. Contract will use escrow or post bond for down payment and advances for product or services not received. TIME FOR COMPLETION: 11. Any date or time specified for completion is approximate only and is subject to fulfillment of delivery or shipping schedules;Seller shall not be liable fordelays in performance due to war,acts of God and other causes beyond the Seller's reasonable control.You must specify if time is of the essence. WARRANTIES: 12. Buyer(s)agree(s)that with respect to all parts,assemblies or units purchased by Seller for completion of this contract,the Buyer(s)shall look solely to the manufacturer's warranty and not to Seller. Use of the pool shall constitute acceptance of all work performed. 13. Seller shall not be responsible for damages to pool parts,equipment or accessories installed by it under this contract,or for discoloraton or for other consequences resulting from improper or inadequate use of chemicals or for neglect or misuse by Buyer(s). Nor does the Seller accept any re- sponsibility for any work performed by others. 14. THE SELLER MAKES NO WARRANTIES,EXPRESSED OR IMPLIED AS TO MERCHANTABILITY,FITNESS FOR PARTICULAR PURPOSE SOLD,DESCRIPTION,QUALITY OR ANY OTHER MATTER. CHANGES: 15. No alteration or change of the work and specifications agreed upon in this contract shall be binding unless such change is in writing,signed by both parties and specifies the additional cost or charge of the change. 16. If this contract involves construction that requires grading or excavation, the price set forth shall be for grading or excavation in plain dirt only. The Buyer(s)agree(s)that removal of rocks,boulders,hard-pan;caflicheirees,roots,stumps,loose sand and gravel,cover water,or hidden obstacles shall be removed at the Buyer(s)sole cost and expense plus 10%as an addition to the contract price. 17. LAWSUITS— Buyer(s)and Seller waive a trial by jury and consent that any lawsuit that may arise in any way under this contract shall be tried by the Court and that this contract shall be governed and interpreted by the laws of the State of New York. Any such lawsuit shall be tried in the county of Seller's choice. 18.
