XVIII. Contract of Record The provisions of this Agreement shall supersede all other contracts and other written documents concerning the work described herein. XIX. Property Protection The Contractor shall adequately protect the work, the Owner's property and the public and the Contractor shall be responsible for any damage or injury due to his act or neglect. When adjacent property is affected or endangered by any work done under this Agreement, it shall be the responsibility of the Contractor to take, at his expense, whatever steps are necessary for the protection of the adjacent property, and to notify the Owner thereof of possible hazards. XX. Insurance A. The Contractor shall carry or require that there be carried full and complete Workers Compensation insurance for all of his employees and those of his subcontractors engaged in work on the contract premises, for not less than the statutory limits or the following, whichever is greater: Accident $100,000 Disease Policy Limit $500,000 Disease Each Employee $100,000 B. In addition, the Contractor shall carry Commercial General Liability (CGL) in the following amounts: General Aggregate: $1,000,000 Each Occurrence: $500,000 C. Contractor shall also carry Professional Automobile - for owned, non-owned, hired and leased vehicles, in the following amounts: Each Occurrence Combined Single Limit $500,000 OR Bodily Injury - each person $250,000 each accident $500,000 Property damage - each occurrence $100,000 Certificates of such insurance must be presented to Owner at the time the Agreement is signed by the Contractor. Each policy shall contain a 30-day notice of cancellation, change or non- renewal. Owner must be named as an additional insured on the CGL policy. The Contractor and all subcontractors, their servants, agents or employees waive subrogation rights against Owner for all losses. XXI. Assignment of the Contract The Contractor shall not assign this contract without prior written approval of the Owner. XXII. Miscellaneous This Agreement shall be construed under the laws of the Commonwealth of Massachusetts and amended only by written instrument executed by both the Owner and the Contractor. 7 installed or constructed on said property by the Contractor are of good quality and free from defects in workmanship or materials. XH. Sub-Contractors A. Contractor agrees that all the warranties contained herein shall apply to all work performed under the Contract, including that performed by any sub-contractors. Sub-contractors to supply licenses and Certificate of Insurance verification prior to start of any work. B. Owner's Right to Assume Rights of Contractor. Contractor shall require in its contract with each Subcontractor that in the event of any default by the Contractor under the Subcontract, or in the event of termination of this Contract, after notice by Owner to Subcontractor of such termination, owner shall have the right but not the obligation to assume the Contractor's rights and obligations under the Subcontract. C. Owner's Right to Reject Choice of Subcontractor. The Contractor shall not contract with a proposed Subcontractor to whom the Owner has made reasonable and timely objections. Should such an objection be raised by Owner, Contractor shall propose another Subcontractor to whom Owner has no reasonable objection. No increase in Contract Sum shall be allowed for such changes unless the Contractor has acted promptly in submitting names as required. XIIL Acknowledgment All warranties herein are in addition to, and not in limitation of, any and all other rights and remedies to which the Owner or subsequent owners may be entitled, at law or in equity, and shall survive the conveyance of title, delivery of, possession of the property, or other final settlement made by the Owner and shall be binding on the undersigned notwithstanding any provision to the contrary contained in any instrument heretofore or hereinafter executed by the Owner. XIV. Contingency Amount Contingency amounts may be used,if needed,only for the following costs: Payment for extra work and changes as agreed upon in writing per the terms and conditions above. XV. Removal of Debris Upon the completion of the work, Contractor agrees to remove all construction debris and surplus material from the property and leave the property in a neat and broom clean condition with all items cleaned and ready for owner's immediate use. XVI. Lead-Based Paint Product Lead-based paint products shall not be used, in compliance with federal regulations found at 24 Code of Federal Regulations Part 35. XVH. Expediency 6 An adjustment shall be made for increases in the cost of performance of the Agreement, including profit on the increased cost of performance, caused by suspension, delay or interruption. NO adjustment shall be made to the extent that performance is, was or would have been so suspended, delayed or interrupted by another cause for which the Contractor is responsible or that an equitable adjustment is made or denied under another provision of this Agreement. VI. Notice of Completion Owner agrees to sign a Notice of Completion for recording within ten (10) days of satisfactory completion of the work. Contractor agrees to release the Owner and property from all claims upon receipt of the completion payment (retention). Certificates of Occupancy which may be required to permit full use and occupancy shall be secured and paid for by the Contractor and shall be a condition precedent to substantial completion of the Work. VII. Change Orders Owner and Contractor expressly agree that no material changes or alterations in the work, price or time, as provided above, shall be made unless in writing and agreed to by Owner and Contractor. No claim for extra compensation or extra time will be allowed on account of Contractor's failure to properly estimate quantities, materials, cost, location and measurements of all items required to complete the Work. VIII. Permits and Codes Contractor agrees to secure and pay for all necessary permits and licenses required, which are: and to adhere to applicable local codes and requiremenW whether or not covered by the Work Write-up and Specifications and any drawings for the work, including State of Massachusetts contractor registration requirements. Upon completion of the Work, the Contractor shall deliver the original permits, licenses and certificates to the Owner. Required Notice. In the event that the Owner rather than the Contractor obtains the necessary permits, or if the Contractor is not registered with the Board of Building Regulations, the Owner will not be entitled to obtain any benefits from the Guarantee Fund established under Massachusetts General Laws Chapter 142A. IX. Equal Opportunity Contractor agrees to provide Equal Opportunity to all persons, without discrimination as to race, color, creed, religion, national origin, sex, marital status, age, and status with regard to public assistance or disability. X. Unacceptable Risk Contractor represents that at the time of execution hereon Contractor's company is not listed on the Disbarred and Suspended Contractors list of the U.S. Department of Housing and Urban Development. XI. Warranty For good and valuable consideration, Contractor hereby agrees to provide a full one-year warranty to the Owner, which shall extend to subsequent owners of the property to be improved. The warranty shall provide that improvements, hardware and fixtures of whatever kind or nature 5 B. Owner's Right to Carry Out the Work. If the Contractor defaults or neglects to carry out the Work in accordance with the Contract Documents whether observed before or after completion of Work, and fails within a seven- day period after receipt of written notice from the Owner to commence and continue correction of such default or neglect with diligence and promptness, the Owner may, without prejudice to other remedies the Owner may have, correct such deficiencies. In such case an appropriate Change Order shall be issued deducting from payments then or thereafter due the Contractor, the cost of correcting such deficiencies. If payments then or thereafter due the Contractor are not sufficient to cover such amounts, the Contractor shall pay the difference to the Owner. C. Owner's Right to Reject Work. The Owner shall have the right to reject the Work which does not conform to the Contract Documents. If the Owner prefers to accept work which is non conforming, the Owner may do so instead of requiring its correction, in which case the contract will be reduced as appropriate or equitable. Such adjustment shall be effected whether or not final payment has been made. D. Termination of the Agreement by Owner for Cause. If a petition is filed by the Contractor, or against the Contractor with his consent, under any federal or state law concerning bankruptcy, reorganization, insolvency or relief from creditors, or if such petition is filed against the Contractor without his consent and is not dismissed within thirty (30) days, or if the Contractor is generally not paying his debts as they become due, or if the Contract becomes insolvent, or if the Contractor agrees to the appointment of a receiver, trustee, liquidator, custodian or the lice of the Contractor or of all or any substantial portion of its assets, or if a receiver, trustee or liquidator, custodian or the lice is appointed with respect to the Contractor or takes possession of all or any substantial potion of its assets or if the Contractor makes an assignment for the benefit of creditors, or if the Contractor refuses or fails to supply enough properly skilled workers or proper materials, or if he fails to make prompt payment to any Subcontractor, or for materials or labor in accordance with the respective s between the Contractor and the Subcontractor, or disregards laws, ordinances, rules, regulations or orders of any public authority having jurisdiction, or is otherwise guilty of a violation of any provision of the Contract Documents, the Owner may, without prejudice to any other right or remedy, after giving the Contractor and his surety, if any, seven (7) days written notice, terminate the employment of the Contractor and take possession of the site and of all materials, equipment, tools construction equipment and machinery thereon owned by Contractor, accept assignment of subcontractors and may finish the Work by whatever method Owner may deem expedient. When the Owner terminates the Agreement for any of the reasons stated above, the Contractor shall not be entitled to receive further payment until the Work is finished. If the unpaid balance of the Contract Sum exceeds the costs of finishing the Work, including the Owner's direct and consequential damages as a result of Contractor's default, such excess shall be paid to the Contractor. If such costs exceed the unpaid balance, the Contractor shall pay the difference to the Owner. The amount to be paid to the Contractor or Owner, as the case may be,shall survive termination of the Agreement. E. Suspension by the Owner for Convenience. The Owner may, without cause, order the Contractor in writing to suspend, delay or interrupt the Work in whole or in part for such period of time as the Owner may determine. 4 IV. Start and Completion Owner is hereby obligated to issue a written Notice to Proceed within ninety (90) days from the date of acceptance of the Contractor's bid and proposal. If said Notice to Proceed is not received by the Contractor within this 90 day period, the Contractor shall have the option of withdrawing his bid and proposal and terminating this Agreement. Contractor agrees to start work within 10 calendar days after receipt of the written Notice to Proceed from the Owner and to complete the work on or before ninety days from the date of the Notice to Proceed. If completion of the Project is delayed beyond the completion date, and no extension of time is approved by the Owner, the parties agree that the Owner would suffer damages, but that such damages would be extremely difficult to ascertain. Therefore, it is agreed that a reasonable estimate of the damages to be suffered by Owner, in the event that final completion is not achieved by the date recited, and no extension of time has been approved by the Owner, is Fifty Dollars($50.00)per day for each day of delay. If the Contractor fails to complete the work as agreed herein, in addition to receiving $50 for each day of delay, the Owner may, without prejudice to any other rights or remedies of the Owner, terminate the Agreement upon seven (7) days written notice, as further provided in Section V(D) below. In agreeing to complete the work within the Contract time, Contractor has taken into consideration and made allowance for ordinary delays and hindrances incident to such work, whether growing out of delays of common carriers, delays in securing materials or workers, changes,omissions, alterations,or otherwise. Excusable delays shall consist of• strikes, lockouts, embargoes, fire, unavoidable casualties, unusual delays in transportation, national emergency, extraordinary weather conditions, labor and material shortages which are beyond the reasonable control of Contractor, Owner not allowing reasonable access to property; provided that the Contractor shall notify the Owner in writing not later than two (2)days after the initial occurrence of any excusable cause of delay. If the Contractor is unable to complete any portion of the work due to excusable delay, the completion date may be extended, provided the extension time period is agreed to, in advance, in writing by both the Contractor and the Owner. Contractor agrees it shall have no claim for damages of any kind on account of any delay in commencement of the Work. V. Termination of the Contract A. Owner's Right to Stop Work. Contractor fails in the Owner's judgment to correct Work which is not in accordance with the requirements of the Contract Documents or fails, in the Owner's judgment, to carry out Work in accordance with the Contract Documents, the Owner, by written order signed personally or by an agent specifically so empowered by the Owner in writing, may order the Contractor to stop the Work, or any portion thereof, until the cause for such order has been eliminated; however, the right of the Owner to stop the Work shall not give rise to a duty on the part of the Owner to exercise this right for the benefit of the Contractor or any other person or entity. 3 hereto and incorporated herein. This represents the entire Agreement between the parties and supersedes prior negotiations, representations or agreements,either written or oral. I. Hold Harmless Contractor shall agree to defend, indemnify, and hold harmless the Owner, from liability and claim for damages because of bodily injury, death, property damage, sickness, disease or loss and expense arising from Contractor's Performance under this Agreement to install or construct home improvements. Contractor is acting in the capacity of an Independent Contractor with respect to the Owner. II. Lien Waivers Contractor agrees to protect, defend and indemnify Owner from any claims for unpaid work, labor or materials with respect to Contractor's Performance. Final or progress payments shall not be due until Contractor has delivered to the Owner, complete or partial releases as applicable of all liens for work completed arising out of Contractor's Performance or receipt in full covering all labor and materials for which a lien could be filed, or a bond satisfactory to the Owner indemnifying him/her against any lien. The lien releases shall be provided for all subcontractors as well as for the Contractor, including all those who have supplied labor, materials or equipment in connection with the work under this Agreement. III. Contract Price The Owner shall pay the Contractor in current funds for the performance of the work, subject to additions and deductions by Change Order, the Contract Sum of thirteen thousand nine hundred forty dollars($13,940). Contractor may make application to the Owner for progress payments as soon as those portions of the work described in the attached Work Write-up and Specifications have been completed. The application shall include an invoice describing the work that was performed and the payment amount requested and releases of any liens as indicated in Section H of this Agreement. Upon approval of such application by the Owner, the Contractor shall be paid the sum requested, subject to a 10%retention, which will be paid 35 days after a Certificate of Occupancy is issued. Applications approved by the last Friday of each calendar month shall be paid before the end of the following month. Required Notice. Any deposit required under this Agreement to be paid in advance of the commencement of work shall not exceed the greater of one-third of the total contract price or the actual cost of any material or equipment which has to be special ordered or custom made, which must be ordered in advance of the commencement of the work, in order to assure the project will proceed on schedule. No final payment may be demanded until the Agreement is completed to the satisfaction of both Owner and Contractor. 2 HOMEOWNER AND CONTRACTOR AGREEMENT Required Notice: All residential contractors and subcontractors are required to be registered with the Massachusetts Board of Building Regulations and Standards, unless specifically exempt from registration.
