Dear Mr. O.Brien:
This letter shall acknowledge that E&J Distributors,Inc., as Landlord and FHBT Credit
Union, as Tenant, are presently negotiating and expect to conclude a lease for the
premises located a 21 Conz Street, Northampton, Massachusetts.
FHBT has requested that E&J permit entry to the premises to be leased to commence
demolition and construction of improvements to the premises. E&J hereby grants to
FHBT a license to enter onto the premises for such purposes.
In the event a lease of the premises is not concluded, it is agreed that any and all
improvements (excluding personal property) shall become the property of E&J and
FHBT hereby waives any claim for reimbursement for the costs of same.
Further, FHBT hereby agrees to hold harmless and indemnify E&J against any and all
claims or liabilities whatsoever resulting form FHBT's entry onto the premises and any
work or other activity conducted thereon by FHBT, its agents, servants, contractors,
employees, subcontractors or invitees.
