24B-073 (4) r rL / ti „ /-6 J � 0 4)-Oct d-C c if-- Contractor Agreement THIS AGREEMENT is made on the 11th day of September, 2012 by and between Adam Quenneville Roofing/Siding/Windows, hereinafter called the Contractor and Coachlight Condominium, hereinafter called the customer. In consideration of the mutual covenants contained herein, Contractor and Customer agree to the following terms and conditions: ARTICLE 1. Scope of Work: The Contractor shall furnish all of the equipment, materials, and labor necessary to perform all of the work shown on the Drawings and /or described in the Specifications entitled Exhibit A - to strip existing roofing and install new roofing at Building 72 and Building 74 as annexed hereto as it pertains to work to be performed on property located at 72/74 Barrett St., Northampton, MA 01060. ARTICLE 2. Time of Completion: The work to be performed under this Agreement shall be commenced on or before September 24, 2012 and shall be substantially completed on or before October 1, 2012. Time is of the essence. ARTICLE 3. The Contract Price: The Customer shall pay the Contractor for the material and labor to be performed under this Agreement the sum of Seventy eight thousand Dollars and zero cents ($78,000.00). Payments of the Contract Price shall be paid in the following manner, provided that the Contractor has submitted an invoice to the Customer per payment (all taxes included are to be shown separately): Down payment of 526,000.00 - Net 30 days with submitted invoice. Balance due upon completion, 552,000.00 — Net 30 days with submitted invoice. In the event Contractor fails to complete scheduled work within the Time of Completion as established in Article 2 of this Agreement, the Contract Price will be reduced by 5500.00 for each week that the work is not completed, excepting that an initial grace period of 5 business days will be given. ARTICLE 4. General Provisions: a. All work shall be complete in all respects and be of a quality consistent with the best - accepted standards of the industry. All materials used to fulfill this contract will be of new and good quality and Contractor will be liable for defective, faulty or improper materials or workmanship upon written demand, the Contractor will immediately remedy all defects, faults or omissions and complete all unfinished work. b. All work shall comply with Manufacturers' specifications and all local, state, and federal codes and regulations having jurisdiction. The Contractor will comply with all applicable Federal, State and Local laws and codes regarding work, materials and the safety of persons or property. c. To the extent required by law all work shall be performed by individuals duly licensed and authorized by law to perform said work. t d. Contractor shall at its own expense obtain all permits necessary for the work to be performed. e. Contractor may at its discretion engage subcontractors to perform work hereunder, provided Contractor shall fully pay said subcontractor and in all instances remain responsible for the proper completion of this Contract. f. In connection with the work, Contractor further agrees to conform to and observe all of the requirements of the Occupational Safety and Health Act of 1970, as amended to date, and to save and hold harmless Coachlight Condominium and Classic Management from any violation thereof by Contractor or any Subcontractor or Sub- Subcontractor or any other person hired by Contractor, and in the event that any fine, penalty, or other charge shall be assessed, levied or imposed by virtue or such violation of the aforesaid Act, Contractor shall reimburse Coachlight Condominium for the amount of such fine, penalty, or other charge assessed, levied, or imposed within ten (10) days of demand thereof. g. In the event that any Notice of Mechanic's Lien or Mechanic's Lien shall be filed against the property by any Subcontractor or Supplier hired by Contractor, the Contractor shall cause the same to be bonded, discharged or otherwise removed of record within (30) days following demand by Coachlight Condominium. h. Contractor shall furnish Customer all appropriate releases or waivers of lien for all work performed or materials provided at the job's completion and when final payment is made. i. The Customer will not be responsible for any loss or damage to the work or any property of the Contractor. j. All change orders shall be in writing and signed by both Contractor and Customer. k. Contractor agrees to remove all debris and leave the premises in broom clean condition each time Contractor or its employees or subcontractors leave the premises (daily, if necessary), and upon final completion of the work to be performed. Contractor further agrees to protect the work, materials, property and adjacent property from damage or loss. The Contractor will pay for, repair or replaced any damage or loss caused by the Contractor's failure to perform this contract. I. Contractor shall not be liable for any delay due to circumstances beyond its control including strikes, casualty or general unavailability of materials. m. All disputes hereunder shall be resolved by binding arbitration in accordance with rules of the American Arbitration Association. ARTICLE 5. Cancellation for Cause: Contractor must properly and diligently complete the work provided for in this contract, otherwise the Customer may notify the Contractor in writing that work must begin within three (3) days or the Customer will complete the work by other means. In the event the contract is for a long -term or seasonal service (ie. Landscape care, snow removal), and Contractor should fail to substantially perform its duties and obligations hereunder, this Agreement shall, at the option of the Customer, be terminated with a two week written notice. In the event of an emergency situation where Contractor fails to fulfill its duties hereunder, Customer may immediately take action as deemed necessary by Customer in order to protect itself from loss or injury resulting from Contactor's failure to perform. In the event of cancellation for cause, any additional cost to complete this work will be charged to the Contractor. ARTICLE 6. Insurance: The Contractor hereby agrees to maintain adequate coverage including Comprehensive General Liability insurance protecting the Customer, and its agent, Classic Management, LLC, from liability, with limits of not less than $500,000 for injuries to any one person, and $1,000,000 for loss or damage to property, Automobile Liability, and Worker's Compensation for injury to employees, and Employer's Liability Insurance coverage of not less than statutory limits must be maintained by the Contractor throughout the course of work. Contractor hereby agrees to protect the Customer and its agent, Classic Management, LLC, against all claims or demands for damages arising from accidents to any person or persons as a result of the work performed and obligations accepted under the terms of this Agreement. A current and original Certificate of Insurance listing Coachlight Condominium and Classic Management as ADDITIONAL INSUREDS must be received prior to beginning the work. ARTICLE 7. Indemnification: Contactor shall defend, indemnify and hold harmless the Customer and its agent, Classic Management, LLC and employees, from and against any and all damages, losses, accidents and expenses, including but not limited to the attorneys fees, arising out of or resulting from the performance of the Work or any act or omission of Contractor, its agents, employees, subcontractors, sub - subcontractors and suppliers in connection therewith and agrees to reimburse the Customer and its agent for any expenditures that said Customer or its agent may make by reason of such. ARTICLE 8. Warranties: Contractor hereby warrants all work performed hereunder for a period of ten (10) years as to labor and thirty (30) years as to material, from date of completion. ARTICLE 9. Other Terms: Neither this Contract nor any interest therein nor duties hereunder may be assigned, delegated or transferred by the Contractor.
