The parties represent that they had the opportunity to thoroughly review this Settlement Agreement and Release; that they have read and understand the provisions herein, and that they are voluntarily entering into this Settlement Agreement and Release. City of Northampton Building Department By: By: i ennis Sheeh/Vice President Louis Hasbrouck, Building Commissioner 2 Settlement Agreement and Release This Settlement Agreement and Release is entered into as this O day of July, 2012, by and between Callahan, Inc. ( "Callahan ") and the City of Northampton Building Department ( "Northampton ") who hereby agree as follows: WHEREAS, Callahan performed electrical work on the property known as Meadowbrook Apartments, 491 Bridge Road, Florence, Northampton, MA (the "Project "); and WHEREAS, Callahan's electric staff replaced 240 electrical panels in 240 units without an electrical permit; and WHEREAS, Northampton has quoted Callahan a fee which Callahan believes is excessive and not consistent with Northampton's fee structure; and WHEREAS, Callahan notified Northampton it was prepared to file an appeal on the fees to be charged; and WHEREAS, the parties seek to resolve all disputes in regard to the electrical permit fee to be charged on the Project, in an amicable manner without the necessity of further legal proceedings. NOW, THEREFORE, in consideration of the promises, covenants and provisions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Callahan and Northampton hereby agree as follows: 1. The electrical permit fee to be charged by Northampton to Callahan on the Project shall be Nine Thousand Five Hundred ($9,500.00) Dollars. 2. Upon payment of the said sum and filing the appropriate Application, Northampton agrees to issue the electrical permit on the Project. 3. In consideration of the above, Callahan agrees to not file any Appeal with the Board of Electricians Appeals. 4. In agreeing to this compromise settlement of the electrical fee dispute, Callahan makes no admissions. 5. Northampton similarly is agreeing to this fee as a compromise of this dispute and as part of this settlement. This fee shall not represent any change by Northampton to its fee structure. 6.
