32C-024 (2) MEMORANDUM OF AGREEMENT Between the Tuesday Market and the City of Northampton July 5, 2011 The City of Northampton (William Letendre, contact person) and the Tuesday Market (Ben James and Oona Coy, Market Organizers) enter into the following Memorandum of Agreement for the use of the pedestrian plaza adjacent to the John E. Gare Parking Garage as outlined below. The City of Northampton agrees to provide the following: • Access to and use of the pedestrian plaza located between Thornes Marketplace and the John E. Gare Parking Garage each Tuesday from May 3, 2010 through November 15, 2010 from 12:00 p.m. until 7:15 p.m.; • Access to the facing wall of the Parking Garage to hang a sign for the duration of the market season. • Access to electrical hook -up for a maximum of two vendors. The Tuesday Market agrees to the following: • To allow set up of the Market no earlier than 12:00 p.m. and to complete clean up of the Market no later than 7:15 p.m. each Tuesday the Market is in session; • To include up to 20 (twenty) vendors in 2010, with preference given to Northampton growers; • To inform vendors that there is no electricity on site for refrigerators or any other appliances (except for maximum of two vendors allowed above) and no generators will be allowed on the site; • To leave the plaza area in the same or better condition as they found it, with market debris, produce scraps and bags removed and appropriately disposed of; the Market is not responsible for trash or other items left prior to or after regular Market hours; • Any musical entertainment the Market may employ must obtain an Entertainment License from the Mayor, which carries a fee of $5 per day, or $50 annually; • Any prepared food vendors selling at the Market will be from Northampton -based establishments, unless there is no Northampton -based establishment selling the equivalent product that wishes to participate. • Any on -site cooking demonstrations must be arranged with the knowledge and supervision of the office of the Building Commissioner, which will inspect the propane or other fuel source used for the demonstration; • All sales of neat. eggs, and prepared foods to be inspected & approved by the office of the Board of Health; • Tuesday Market agrees to hold harmless the City of Northampton and its staff for any damage to vendor property or any injury arising from the operation of the Tuesday Market; • Tuesday market agrees to operate as an LLC with all required insurance to be carried by Ben James and Oona Coy. The parties agree in principle: • To revisit this Memorandum of Agreement after October 27, 2010 to review the season's operations and to draw up a Memorandum of Agreement for 2011. such agreement to be in place no later than December 1, 2010; • To review and renew this Memorandum of Agreement annually thereafter; • That this agreement may be terminated at any time by either party by submitting notification in writing. '3 /i / r `Z To Whom it May Concern in the Northampton Building Department, In 2010, Tuesday Market received approval (see attached contract) from the mayor and the parking commissioner to attach a seasonal sign on the wall of the parking garage facing the plaza where the market is located. The sign is 10' X 2.5' and is anchored to the garage wall with concrete anchors. We remove it in November and put it back up in late April. The contract does not specify the size of the sign, but we received approval for its dimensions from former parking commissioner Bill Letendre. As of this year the policies regarding Northampton farmers markets have changed. We are now filing this application for a sign permit. I am not sure whether our existing sign is within the permitted dimensions. Nevertheless, I am requesting that we be allowed to continue using our existing sign. It is a quality sign hand - painted by artist Jonathon Kohrman at significant expense to the market ($1,200). If we were to change the sign dimensions, we would need to make an entirely new sign and to put new anchors in the wall of the garage.
