Mutual Termination Agreement.Northampton.MeetinghouseMUTUAL TERMINATION AGREEMENTThis Mutual Termination Agreement is entered into as of this ___ day of June, 2020 by and between the City of Northampton, a Massachusetts municipal corporation
with an address of City Hall, 210 Main Street, Northampton (the “City”) and Meetinghouse Realty Investments #600, LLC, a Massachusetts limited liability company with an address of 7
Wingate Lane, Acton, Massachusetts (“Meetinghouse”).
Preliminary Statements
A.Meetinghouse is the successor to the City of Northampton to land described in a Quitclaim Deed dated April 1, 2020 and recorded in the Hampshire County Registry of Deeds in Book 13583,
Page 338 (the “City Parcel”).
B.Meetinghouse is also the successor to Robert D. Raymond to land described in a Quitclaim Deed dated March 18, 2020 and recorded in the Hampshire County Registry of Deeds in Book 13574,
Page 320 (the “Raymond Parcel”).
C.The City and Meetinghouse’s predecessor in interest as to the Raymond Parcel have previously entered into the following agreements which impose duties on the owner of the Raymond Parcel
that are meant to facilitate the development of the adjacent City Parcel: a certain Development Agreement dated December 20, 2012 and recorded in the Hampshire County Registry of Deeds
in Book 11173, Page 113, as superseded by a Development Agreement dated February 26, 2018 and recorded in the Hampshire County Registry of Deeds in Book 12888, Page 27, and as amended
by an Amendment to Development Agreement dated February 18, 2020 and recorded in the Hampshire County Registry of Deeds in Book 13543, Page 230 (collectively, the “Development Agreement”).
D.Given that the City Parcel and the Raymond Parcel are now owned by Meetinghouse and Meetinghouse is developing them as one contiguous parcel of land, the Development Agreement is no
longer needed to facilitate the development of the City Parcel.
E.Accordingly, each of the City and Meetinghouse now desire to terminate the Development Agreement.
NOW THEREFORE, In consideration of Ten and 00/100 ($10.00) Dollars and the premises contained herein the receipt and sufficiency of which is hereby acknowledged, each of the City and
Meetinghouse hereby agree as follows:
1.Effective as of the recording of this Mutual Termination Agreement in the Hampshire County Registry of Deeds, all covenants, obligations, conditions and rights set forth in the Development
Agreement shall terminate and be of no force or effect, and all other provisions of the Development Agreementshall terminate and be of no force or effect.
2.It is the specific intention of the City and Meetinghouse to confirm pursuant to this Mutual Termination Agreement that all covenants, rights, restrictions and other provisions of
the Development Agreement relating in any manner whatsoever to the premises covered thereby shall terminate and be of no further force or effect upon the recording of this Mutual Termination
