Copy of Agreement must be given to Homeowner: This Agreement is governed under the Laws of Massachusetts. It is executed in duplicate, and an original signed copy hereof shall be given to the Homeowner at the time of execution. This Agreement may not be effective or enforceable until the Homeowner receives such copy. 38. Form intended to comply with law: The Parties acknowledge that the form, substance, content and notices contained in this Agreement are intended to comply with the applicable portions of Massachusetts General Laws Chapter 142A, and regulations promulgated thereunder. In the event of any instance of non-compliance, only such portion shall be invalid and the remainder of this Agreement shall be in full force and effect. In addition, any such portion not in compliance shall be read and interpreted so as to have its intended meaning to the maximum extent allowed under such law and applicable regulations. Insurance: The Homeowner shall purchase and maintain property insurance in the amount of the Total Agreement Price as well as subsequent modifications due to Change Order Authorizations. Coverage shall be on a replacement cost basis and shall be maintained until final payment has been made or until no person or entity other than the Homeowner has an insurable interest in the covered property, whichever is earlier. The policy shall cover the parties and subcontractors as their interests may appear subject to any mortgages upon the premises. Property insurance shall be on an all-risk form and shall insure against the perils of fire and extended coverage and physical loss or damage including, without duplication of coverage, theft, vandalism, malicious mischief, collapse, false work, temporary buildings and debris removal. The Homeowner shall give Contractor, upon his request, either certificates of insurance for the referenced coverages or copies of all policies prior to the commencement of construction activities. The parties waive all rights they may have against each other for damages covered by this insurance. The Contractor shall carry worker's compensation and public liability insurance at all times during the term of this contract and shall, upon their request, provide the Homeowners with either certificates of insurance for the referenced coverages or copies of all such policies prior to the commencement of construction activities. All workers' compensation policies shall cover not only the Contractor's employees but also the employees of any subcontractors who may be uncovered by separate policies but for whom the Homeowners and/or the Contractor may have responsibility to provide coverage ultimately. The liability insurance to be provided by the Contractor shall be in the minimum amount of One Million Dollars ($1,000,000.00) for any injury to person or property. RIGHT OF CANCELLATION 34. Cancellation Rights: The Homeowner is hereby notified that: You may cancel this agreement if it has been signed by a party hereto at a place other than at an address of the Seller (Contractor), which may be the Seller's office, provided you notify the Seller in writing at the office by ordinary mail, posted, by email, or by delivery, not later than midnight of the third business day following the signing of this Agreement. IMPORTANT NOTICE REQUIRED BY LAW 35. Completeness of Agreement for execution: The Homeowner is hereby advised that he or she should not sign this Agreement unless and until all blank sections have been filled in or marked as void, deleted or not applicable, aild until all exhibits and related or referenced documents that are incorporated herein are attached hereto. Homeowner Date NOTICE: The signatures of the Parties under Item 25 apply only to the Agreement of the Parties to alternative dispute settlement as may be required by the Contractor. The Homeowner, under provisions of said Chapter 142A, may initiate alternative dispute settlement even where that section is not separately signed by the Parties. LIMITED WARRANTY PROVISIONS. LEINS AND INSURANCE 27. Term of the Contractor's warranty: The Contractor warrants that the work under the terms of the Agreement shall be free of substantial defects for a period of one year from the date of completion. 28. Maintenance, abuse and normal wear and tear: During the stated warranty period the Contractor shall be responsible for service for repair or adjustment, but the Contractor shall not be responsible for normal maintenance, repair due to abuse, misuse and normal wear and tear, which shall be the responsibility of the Homeowner. 29. Manufacturer's warranties: All warranties for equipment supplied by the Contractor under this Agreement shall be those given by the manufacturers of such equipment, which shall be and are hereby passed through directly to the Homeowner. Under such manufacturer's warranties, the Homeowner may be required to register or mail in a warranty card or other evidence of ownership and use of such equipment in order to activate such warranties. The Homeowner's failure to mail in or register such documentation, which failure voids the manufacturer's warranty, shall not create any responsibility for the Contractor to warranty such equipment. 30. Repair or replacement: In case of service by the Contractor under the warranty provisions, the choice of repair or replacement shall be at the discretion of the Contractor. 31 . Claims in writing: All claims for adjustments, repair or replacement shall be made by the Homeowner, in writing, and mailed by postage prepaid first class mail to the Contractor at the Contractor's address as contained on the cover page of this agreement. 32. Mechanics Liens: Upon Homeowner's request, the Contractor shall give to the Homeowners a release of all liens and evidence of payment for all labor, materials and equipment which might give rise to a lien upon completion of construction and final payment. Provided further that prior to any disbursements to the Contractor provided for herein, the Homeowners shall have the right to demand the production of such releases and/or other documentation as they deem necessary to satisfy themselves that all laborers, material persons and suppliers have been paid to date. Further, provided that the Homeowner has paid the Contractor in accordance with the payment schedule set forth herein, the Contractor agrees to indemnify and save the Homeowner harmless from the effects of any mechanics liens claimed against her premises, which effects shall include but not necessarily be limited to the cost, including reasonable attorney's fees to have such mechanics liens removed. xBuilding Permit x Plumbing Permit x Gas Permit _Demolition Permit x Electrical Permit Others as listed 23. Permits that are the responsibility of Contractor: The Contractor under provisions of Chapter 142A of the General Laws is required to apply for and obtain all construction related permits. 24. Other permits/approvals not responsibility of Contractor: Certain Home Improvement work (i.e. additions, garages porches etc.) may require other permits including but not limited to Variances and Special Permits under Zoning By-Laws through the Board of Appeals, Board of Health Permits for expansion of sewage disposal systems, Conservation Commission for an Order of Conditions, etc. Such permits, which may require non-construction related, engineering, technical or legal representation of the Homeowner, shall be the responsibility of the Homeowner, unless otherwise agreed to between the Homeowner and Contractor. 25. Delays in obtaining necessary construction related permits: The Contractor shall not be deemed responsible for delays in the work described in this Agreement caused by regulatory, permit granting or inspection agencies, authorities or individuals. IMPORTANT NOTICE REQUIRED BY LAW If the Homeowner obtains his or her own construction related permits for the work described under this Agreement, the Homeowner is hereby advised that in the event of a dispute, judgment and nonpayment of the Contractor, the Homeowner will nal be entitled to make a claim to or collect from the Guaranty Fund established by Chapter 142A, M.G.L. ALTERNATIVE DISPUTE SETTLEMENT (ARBITRATION) CLAUSE 26. Agreement of the Parties to procedure: The Contractor and the Homeowner hereby mutually agree in advance that in the event of a dispute concerning this Agreement or the labor, materials and equipment supplied or to be supplied hereunder, the Parties shall submit such dispute to a Private Arbitration Service which has been approved by the Secretary of the Executive Office of Consumer Affairs, as provided in Chapter 142A of the General Laws, prior to either party proceeding to legal action in the Courts. For Bourke Builders Date 8,000.00 due upon completion of drywall, primer, ceiling and first coat wall paint, and hearth and fireplace installation 3,500.00 due upon installation of finished flooring, and interior door 7,500.00 due upon completion of interior trim, shelving and mantle 2,000.00 due upon completion of finished plumbing, heating and electrical 1,300.00 due upon completion of interior painting Payment, in full of the balance of $ 2,900.00 shall be made forthwith upon substantial completion of work under this Agreement. *Substantial completion means that most items are completed and that the space can be occupied (a Certificate of Occupancy can be issued). If at this time some items remain unfinished or need correction, then the builder and homeowner will decide on a reasonable sum of money to be 'held back' until such items are completed. The Contractor shall submit invoices for progress payments. Invoices shall be paid by the Homeowner upon receipt of invoices, and in any case not more than within seven (7) days of their receipt of same, provided that said work is completed in accordance with the description set forth in this Agreement. Seven (7) days subsequent to Homeowner's receipt of any invoice and the accrual of the Homeowner's obligation to pay same, the Homeowner shall be responsible for paying Contractor interest at an annual rate of ten (10%) percent until payment is made. IMPORTANT NOTICE REQUIRED BY LAW No Agreement for residential (home improvement) contracting work shall require a down payment (advance deposit) of more than one-third of the total Agreement price g—r the total amount of all deposits or payments which the Contractor must make, in advance, to order and/or otherwise obtain delivery of special order materials and equipment, which ever amount is greater. 20. Finance charges/delays in required payments: Payments as provided under Item 16 above shall be made when due. Any payments that are delayed shall be subject to a finance charge of 1% per month. 21 . No acceleration of payments but escrowing allowed: The remaining balance and the schedule of remaining payments, which are not yet due, may not be advanced (accelerated) because the Contractor deems himself or the payments to be insecure. However, if the Contractor deems himself to be insecure, he may require, as a prerequisite to continuing the work described herein, that the balance of the payments under this Agreement which are in control of the Homeowner, shall be placed in a joint escrow account, which requires the signatures of both the Contractor and the Homeowner for withdrawal. PERMITTING 22. Construction related permits: The following construction related permits will be necessary in order to complete the scope of work included in this Agreement and are the responsibility of the Contractor: (mark X where applicable) designated because they are not presented in detail in the architectural drawings, plans and specifications, or there are hidden conditions, which prohibit making a guaranteed estimate. Materials and equipment under an Allowance shall be selected promptly by Homeowner so as to avoid delay. The Contractor does not guarantee that the amounts included will necessarily complete the work. The actual cost will depend on the Homeowner's selections, the extent of the work and in the case of site development / excavation, work required to properly protect the construction, bring grades to appropriate levels, and enhance the surrounding property. The Homeowner shall decide who shall supply items covered by Allowances; but Contractor shall not be required to employ persons or entities against which Contractor makes reasonable objection. For Allowance Items included in this Agreement and marked `installed', the basis for determining the final price shall be the labor, material and builder's margin costs incurred by the Contractor. For other all Allowance Items, the Allowance amounts are for the specific materials only, unless the Homeowners make requests or selections, which cause the Contractor to incur unexpected labor or overhead costs. If the final price of the Allowance Item exceeds the amount listed, the Homeowner shall be charged the difference, and if the final price is less than the amount listed, the Homeowner shall be credited the difference. 15. Change Order Authorizations: Any change in construction which varies the plans description or specifications shall be made by written Change Order Authorization only, setting forth the nature of the modification to be made by the Contractor, the price to be added or deleted from the cost set forth in this Agreement (see #17 below) and any adjustment in time for substantial completion. All such Change Order Authorizations shall be signed by the Homeowner and Contractor prior to commencement of any such modification. The Contractor shall have the right to invoice the full net cost of any such change orders immediately, including the increase in cost of materials, labor and builder's margin, and to refrain from commencing such additional work relative to such change orders until the full net cost is paid by the Homeowner. If the change in cost is not known, the Contractor shall use his best efforts to give the Homeowner a fair estimate, and shall give the Homeowner an Allowance figure for the change, which shall be adjusted up or down when the true cost is known. 16. Hidden conditions and necessary additional work: Hidden conditions as described in Item 7 above may require adjustment in the overall price for the necessary work related to this Agreement. In such case the Contractor shall inform the Homeowner of such conditions forthwith and where necessary a written amendment of this Agreement will be negotiated and executed by the Parties. 17. Overall Price of Agreement: The TOTAL PRICE for the labor and materials to be performed by the Contractor under this Agreement: $ 58,675.00 18. Advance deposit: A Down Payment (deposit) paid on the date of Execution of this Agreement: Five Thousand Nine Hundred Dollars ($ 5,900.00) 19. CONSTRUCTION ACTIVITY 8.Description of the work: The work consists of all demolition, labor, materials and subcontractors required for the construction of the Addition and Remodel work according to the Plans, `K. Howat Addition/Remodel', 9 pages, 9/11/15 by Bourke Builders and as further described below. The work also includes: replacing two windows in the 2nd fl. bedroom; installing a battery- powered CO detector on the living room ceiling; moving and protecting owner's belongings; installing necessary dust barriers and all clean-up and removal of construction debris. Notes: 1. Assumes workers' use of house toilet facilities during construction (portable toilet is not included). 2. Does not include security system wiring and interconnection of new windows and door. 9. Materials and/or equipment to be supplied by Contractor: all materials and equipment necessary for the work described above, except as noted in #11 below. 10. NOTICE: Failure by the Homeowner to promptly complete such work and supply such materials in a timely manner may delay the completion date of the work under this Agreement, which delay shall not be considered the responsibility of the Contractor. 13. Site Cleanliness: The Contractor will maintain the site in an orderly fashion, preventing construction debris from blowing or scattering and shall leave the site in a 'construction clean' condition when construction is completed. CONTRACT PRICE AND PAYMENT SCHEDULE 14. Allowances: Allowances are the maximum amounts allowed within this Agreement for each item listed (see #8 above). The Allowance amounts shown represent careful estimates for the work and are included for budgetary purposes.
